Clifford Chance advises bank syndicate on EUR 2.7bn bond issue by ZF Friedrichshafen

International law firm Clifford Chance has advised a bank syndicate comprising J.P. Morgan, BNP Paribas, BofA Merrill Lynch, Citigroup, Deutsche Bank and six other banks on a 2.7 billion Euro bond issue by ZF Europe Finance B.V. which is guaranteed by ZF Friedrichshafen AG.

The bonds, issued in four tranches with maturities between four and ten years, were multiply oversubscribed. The bonds with interest rates of 1.250, 2.000, 2.500 and 3.000 per cent mature in 2023, 2026, 2027 and 2029, respectively. They will be listed on the regulated market of the Luxembourg Stock Exchange.

The net proceeds of the bond issue will be used to partly finance the recent acquisition of global automotive supplier WABCO Holdings Inc.

Die internationale Anwaltssozietät Clifford Chance hat ein Bankenkonsortium aus J.P. Morgan, BNP Paribas, BofA Merrill Lynch, Citigroup, Deutsche Bank und sechs weiteren Banken bei der Begebung einer 2,7 Milliarden Euro-Anleihe durch ZF Europe Finance B.V., die von der ZF Friedrichshafen AG garantiert wird, rechtlich beraten.

Die in vier Tranchen mit Laufzeiten zwischen vier und zehn Jahren begebenen Anleihen waren sehr gefragt und mehrfach überzeichnet. Die Anleihen mit einem Zinssatz von 1.250 bzw. 2.000, 2.500 und 3.000 Prozent werden 2023 bzw. 2026, 2027 und 2029 fällig und sind am geregelten Markt der Börse Luxemburg notiert.

Der Ertrag der Anleiheemission wird zur Zahlung eines Teils des Kaufpreises für die jüngste Übernahme des globalen Automobilzulieferers WABCO Holdings Inc. verwendet.
