Clifford Chance advises dormakaba on its acquisition of traditional fittings manufacturer OGRO

Clifford Chance has provided comprehensive legal advice to dormakaba Holding GmbH+Co KGaA ("dormakaba") on the acquisition of a stake in the renowned fittings manufacturer OGRO.

Insolvency proceedings were instituted against the assets of OGRO GmbH, based in Velbert, on 1 June 2018. Niederhoff & Dellenbusch GmbH & Co. KG has acquired both the business operations and the business premises from the insolvency administrator d'Avoine as part of an asset deal with the intention of continuing manufacturing operations. dormakaba has acquired a holding in the joint venture controlled by Niederhoff & Dellenbusch GmbH & Co which was established for this purpose. The parties have agreed not to disclose any details of the purchase price.

The successful closing of the asset deal has not only secured the existence and continuation of the traditional manufacture of fittings technology, but has also laid the foundation for avoiding any potential job losses.

Die internationale Anwaltssozietät Clifford Chance hat die dormakaba Holding GmbH+Co. KGaA ("dormakaba") rechtlich umfassend beim Erwerb einer Beteiligung an der renommierten Manufaktur für Beschlagtechnik OGRO beraten.

Über das Vermögen der OGRO GmbH mit Sitz in Velbert war am 1. Juni 2018 ein Insolvenzverfahren eröffnet worden. Die Niederhoff & Dellenbusch GmbH & Co. KG hat im Rahmen einer übertragenden Sanierung den Geschäftsbetrieb sowie das Betriebsgrundstück zum Zwecke der Fortführung der Manufaktur von dem bestellten Insolvenzverwalter d'Avoine im Rahmen eines Asset Deals erworben. An dem zu diesem Zweck gegründeten, von der Niederhoff & Dellenbusch GmbH & Co. KG beherrschten Gemeinschaftsunternehmen hat sich dormakaba beteiligt. Über den Kaufpreis haben die Parteien Stillschweigen vereinbart.

Durch den erfolgreichen Abschluss des Asset Deals ist nicht nur die Existenz und Fortführung der traditionsreichen Manufaktur für Beschlagtechnik gesichert, sondern auch die Grundlage für den Erhalt der Arbeitsplätze gelegt worden.
