Clifford Chance advises Lagerwey and its shareholder Ponooc in a large scale wind energy project with NovaWind, a subsidiary of the Russian state company Rosatom

The transaction involved:

  • the set-up of a joint venture - Red Wind - between the Dutch wind turbine manufacturer Lagerwey and NovaWind to supply 388 wind turbines to Rosatom's subsidiary VetroSGC by 2022
  • the conclusion of a Wind turbine technology licensing agreement, under which Lagerwey  provides technology and expertise in 2.5MW and 4.5MW turbines for the joint venture
  • the conclusion of a components supply agreement, for the supply by Lagerwey of the first 60 wind turbines
  • the conclusion of services agreements, under which Lagerwey will teach Red Wind’s team how to manufacture the turbines and operate the wind farms, and train staff at NovaWind’s production sites in Volgodonsk in south west Russia
  • the conclusion of wind turbine sales agreements for the turn-key supply of wind turbines to VetroSGC

The Clifford Chance team in Amsterdam was led by Jaap Tempelman for the operational agreements and by Evert van der Kaa for the joint venture formation, and furthermore consisted of Hans Beerlage, Mark Loefs , Sophie Herweijer, Rona Nisar, Frans Muller, Jurre Jurriens, Simone Peek, Mukesh Hoeba, Alvin Khodabaks and Nadia Jagusiak. The Clifford Chance team in Russia consisted of Torsten Syrbe, Sardaana Nogovitsyna and Ilya Stekunov.
