Clifford Chance advises Fortune Fountain Capital on the proposed acquisition of Baccarat

Leading international law firm Clifford Chance has advised Fortune Fountain Capital (“FFC”), a prominent Asia financial group established as a family office, on its acquisition from Starwood Capital and L Catterton Partners of 88.8% of the share capital of Baccarat, the internationally renowned French luxury Crystal Maison.

FFC would acquire the shares from Starwood and L Catterton Partners at a price of €222.7 per share. The closing of the block purchase would be followed by a mandatory tender offer filed with the AMF.

The proposed acquisition of the block by FFC will need to go through the applicable Work Council consultation process in France and be subject to regulatory approvals.

Le cabinet d'avocats international Clifford Chance a conseillé Fortune Fountain Capital (“FFC”), groupe financier asiatique de premier plan, dans le cadre de l'acquisition de 88,8% du capital de Baccarat, entreprise verrière et manufacture de cristal, de renommée mondiale.

FFC devrait acquérir les actions de Starwood Capital et de L Catterton Partners au prix de 222,7 euros par action. L'acquisition du bloc sera suivie par le dépôt obligatoire d'une offre publique d'achat auprès de l'AMF.

Le projet d'acquisition de Baccarat par FFC devra être soumis au comité d'entreprise pour consultation, conformément à la réglementation française, et à des approbations réglementaires.
