Clifford Chance advises Denka on the acquisition of Icon Genetics

Clifford Chance advised the Japanese Denka-Group on its acquisition of Icon Genetics GmbH, Halle, Germany. The vendor was Nomad Bioscience GmbH, Munich. The purchase price amounts to up to EUR 75 million.

Denka with its headquarters in Tokyo is a globally acting group which specialises on raw materials, electronics and the growth sector pharmaceuticals where it focuses on vaccines and diagnostics.

Icon Genetics is a research and development company which specialises on the development of vaccines in particular against the Norovirus as well as other pathogens.

Denka will initially take over 51% of the Icon Genetics shares and the remainder in 2017. In parallel to the acquisition, both enterprises have concluded a cross-license agreement.

Die internationale Anwaltssozietät Clifford Chance hat die japanische Denka-Gruppe beim Erwerb der Icon Genetics GmbH, Halle, beraten. Verkäufer war die Nomad Bioscience GmbH, München. Der Kaufpreis beträgt bis zu EUR 75 Millionen.

Denka, mit Hauptsitz in Tokio, ist ein global agierender Konzern mit den Tätigkeitsschwerpunkten Rohstoffe, Elektronik und dem Wachstumsbereich Pharmazeutika, in dem sich Denka unter anderem auf Impfstoffe und Diagnostika fokussiert.

Icon Genetics ist ein Forschungs- und Entwicklungsunternehmen, das sich auf die Entwicklung von Impfstoffen, insbesondere gegen das Norovirus und andere Erreger, spezialisiert hat.

Denka wird zunächst 51% der Icon Genetics-Anteile übernehmen und die restlichen Anteile im Jahr 2017. Parallel zum Erwerb haben beide Unternehmen einen wechselseitigen Lizenzvertrag abgeschlossen.
