Clifford Chance advises banks on financing the acquisition of Comcave Group
Clifford Chance has advised a banking syndicate consisting of Deutsche Bank, DZ Bank, KBC Bank Deutschland and SEB on the financing of the acquisition of a majority stake in Comcave Group, Dortmund, by Gilde Buy Out Partners.
The parties have agreed not to disclose the purchase price. The transaction is subject to approval from the antitrust authorities.
Comcave is one of Germany's leading suppliers of re-education for adults and specialises in IT-related training. Classes are held in one of the 14 German training centres or via online training.
Gilde Buy Out Partners is a European Private Equity investor with a focus on investments in the mid-market-sector in German speaking countries and the Benelux.
The Clifford Chance team was led by partner Thomas Weitkamp and comprised counsel Christian Hentrich, associate Sabine Gröbner (all Banking & Capital Markets, Munich) and associate Matthias Töke (Banking & Capital Markets, Frankfurt), partner Burc Hesse and senior associate Dr. Albrecht Brodhun (both Private Equity, Munich) as well as partner Thorsten Sauerhering (Tax, Frankfurt).

Die internationale Anwaltssozietät Clifford Chance hat das Bankenkonsortium aus Deutsche Bank, DZ Bank, KBC Bank Deutschland und SEB bei der Finanzierung des Erwerbs einer Mehrheitsbeteiligung an der Comcave Gruppe, Dortmund, durch Gilde Buy Out Partners beraten.
Über den Kaufpreis haben die Parteien Stillschweigen vereinbart. Die Transaktion erfolgt vorbehaltlich der Zustimmung durch die Kartellbehörden.
Comcave ist einer der führenden Anbieter im Bereich der Erwachsenenbildung in Deutschland. Das Unternehmen ist spezialisiert auf IT bezogene Lerninhalte. Die Kursteilnahme erfolgt an einer der 14 bundesweiten Fortbildungszentren oder online in einem virtuellen Klassenzimmer.
