Clifford Chance advises Volkswagen Aktiengesellschaft on the issuance of U.S.$ 3.5 billion of bonds by Volkswagen Group of America Finance

Clifford Chance advised Volkswagen Aktiengesellschaft and Volkswagen Group of America Finance, LLC on the issuance of U.S.$ 3.5 billion of bonds by Volkswagen Group of America Finance, LLC primarily to U.S. institutional investors pursuant to Rule 144A of the Securities Act of 1933. The bonds are irrevocably and unconditionally guaranteed by Volkswagen Aktiengesellschaft. This was Volkswagen Group of America Finance, LLC's initial issuance of bonds to U.S institutional investors.

The bonds were issued in five tranches: the U.S.$ 1.45 billion 1.250% senior notes due 2017, the U.S.$ 1 billion 2.125% senior notes due 2019, the U.S.$ 500 million floating rate senior notes due 2017, the U.S.$ 250 million floating rate senior notes due 2016 and the U.S.$ 300 million floating rate senior notes due 2015.

Die internationale Anwaltssozietät Clifford Chance hat die Volkswagen Aktiengesellschaft und die Volkswagen Group of America Finance, LLC bei der Emission einer vornehmlich an institutionelle Investoren in den USA platzierten Anleihe gemäß Rule 144A des Securities Act of 1933 über 3,5 Milliarden US-Dollar beraten. Die Bonds sind durch eine unwiderrufliche und unbedingte Garantie der Volkswagen Aktiengesellschaft besichert. Dies war die erste Emission von Volkswagen Group of America Finance, LLC an institutionelle Investoren in den USA.

Die Emission der Anleihen erfolgt in fünf Tranchen: Die erste Tranche über 1,45 Milliarde US-Dollar ist 2017 fällig und wird mit 1,250% jährlich verzinst. Die zweite Tranche hat ein Volumen von 1 Milliarde US-Dollar, einen festen Kupon von 2,125% jährlich und ist 2019 fällig. Die dritte Tranche ist 2017 fällig, hat einen Nennbetrag von 500 Millionen US-Dollar und ist variabel verzinslich. Die vierte, ebenfalls variabel verzinsliche Tranche ist 2016 fällig und hat ein Volumen von 250 Millionen US-Dollar. Die fünfte, ebenfalls variabel verzinsliche Tranche ist 2015 fällig und hat ein Volumen von 300 Millionen US-Dollar.
