Clifford Chance advises IMMOFINANZ AG and BUWOG AG on the spin-off of BUWOG AG
Clifford Chance has advised IMMOFINANZ AG and BUWOG AG in connection with the spin-off of BUWOG AG from IMMOFINANZ AG and the listing of the shares of BUWOG AG on the Frankfurt Stock Exchange, the Vienna Stock Exchange and the Warsaw Stock Exchange.
The transaction involved the spin-off of 51 per cent of the shares of the BUWOG AG and the distribution of those shares to the shareholders of IMMOFINANZ AG. BUWOG AG is an Austrian-German residential real estate company with a regional focus on Berlin, Northwestern Germany, Vienna and Southern Austria. BUWOG AG's total portfolio amounts to EUR 3.5 billion. The primary listing location of the shares of BUWOG AG is Frankfurt and BUWOG AG aims to be included in the MDAX.
Clifford Chance has advised IMMOFINANZ AG and BUWOG AG in connection with the transaction in U.S. law, German law and acted as international counsel in connection with advice in other relevant jurisdictions worldwide outside of Austria and Poland.

Die internationale Anwaltssozietät Clifford Chance hat die IMMOFINANZ AG und die BUWOG AG beim Spin-off der BUWOG AG von der IMMOFINANZ AG und der Notierung der BUWOG AG an der Frankfurter Börse, der Wiener Börse und der Börse Warschau beraten.
Die Transaktion umfasste die Abspaltung von 51 Prozent der Anteile der BUWOG AG und ihre Verteilung an die Aktionäre der IMMOFINANZ AG. Die BUWOG AG ist ein auf Wohnimmobilien spezialisierter österreichisch-deutscher Konzern. Er hält ein Portfolio im Wert von 3,5 Milliarden Euro mit den regionalen Schwerpunkten Berlin, Nordwestdeutschland, Wien und Südösterreich. Das Primärlisting der BUWOG AG erfolgte an der Frankfurter Börse, wobei die BUWOG AG die Aufnahme in den MDAX anstrebt.
Clifford Chance hat die IMMOFINANZ AG und die BUWOG AG im Zusammenhang mit der Transaktion im U.S. Recht und deutschen Recht beraten und fungierte als International Counsel in der Koordination der Beratung in allen relevanten anderen Jurisdiktionen außerhalb von Österreich und Polen.
