Clifford Chance advises on purchasing arrangement between Max Bahr/Praktiker and HELLWEG
Clifford Chance advised Max Bahr/Praktiker on a cooperative purchasing arrangement with HELLWEG. The companies intend to work closely with each other on procurement matters and to operate a joint purchasing company, DIYCO Einkaufsgesellschaft mbH, in which each of them will have a 50% holding. They intend to create synergies by combining their purchasing power and exploiting logistical benefits. The pricing structures and other conditions to be agreed with suppliers under the framework agreements will apply to all of the companies' sales divisions in Germany and in the case of HELLWEG, Austria. The companies have a joint turnover of around EUR 3.5 billion in Germany alone.
Praktiker AG's supervisory board has already approved the cooperation with HELLWEG which is still subject to clearance from the German Federal Cartel Office. The partnership between the companies is due to start on 1 March 2013. HELLWEG's partnership with toom Baumarkt GmbH in the DIY Union will end on 31 January 2013.
The Praktiker Group is currently developing the Max Bahr brand as its main sales division for the German market. The conversion of existing Praktiker stores will bring the number of Max Bahr stores up to almost 200 by the end of this year. The owner-operated HELLWEG Group has around 150 HELLWEG Die Profi- Baumärkte and BayWa Bau & Garten stores across Germany and Austria.

Clifford Chance berät bei Einkaufskooperation von Max Bahr/Praktiker und HELLWEG
Die internationale Anwaltssozietät Clifford Chance hat Max Bahr/Praktiker bei einer Einkaufskooperation mit HELLWEG beraten. Beide Unternehmen wollen zukünftig auf dem Gebiet der Warenbeschaffung eng zusammenarbeiten und über die gemeinsame Einkaufsgesellschaft DIYCO einkaufen. Die Partner halten die 50 Prozent an der „DIYCO EinkaufsgesellschaftmbH“. Sie soll Synergien durch die Bündelung des Einkaufsvolumens und die Ausnutzung logistischer Vorteile erzielen. Die in Rahmenverträgen mit den jeweiligen Lieferanten auszuhandelnden Preise und Konditionen sollen in gleicher Weise für alle Vertriebslinien beider Gesellschaften im Inland und (im Fall von HELLWEG) in Österreich gelten. Auf dem deutschen Markt haben die Unternehmen gemeinsam ein Umsatzvolumen von rund 3,5 Milliarden Euro.
Der Aufsichtsrat der Praktiker AG hat der Einkaufskooperation mit HELLWEG bereits zugestimmt. Das Vorhaben steht unter dem Vorbehalt der Prüfung durch das Bundeskartellamt. Der Beginn der Partnerschaft ist für den 1. März 2013 geplant. Die Zusammenarbeit von HELLWEG mit toom Baumarkt GmbH in der DIY Union wird zum 31.01.2013 aufgelöst.
HELLWEG und Max Bahr hatten bereits in der Vergangenheit im Einkauf kooperiert. Die Marke Max Bahr wird derzeit innerhalb des Praktiker Konzerns zur Hauptvertriebslinie im deutschen Markt entwickelt. Das Standortportfolio soll bis Ende des Jahres durch den Umbau bisheriger Praktiker Märkte auf fast 200 Filialen anwachsen. Die Inhabergeführte HELLWEG Gruppe ist mit den Vertriebslinien HELLWEG Die Profi-Baumärkte und BayWa Bau & Garten rund 150 Mal in Deutschland und Österreich vertreten.
