Clifford Chance advises Grammer AG on Joint Venture with Jiangsu Yuhua Automobile Parts
Clifford Chance advised Grammer AG, Amberg, Germany, on a joint venture agreement with Jiangsu Yuhua Automobile Parts Co. Ltd. (Yuhua), China, for the production and sale of seats for trucks and buses in China. Grammer's stake in the jointure will be 60%, while Yuhua will hold 40%. The joint venture company will be domiciled in Jiangyin, China, and do business under the name of Grammer Seating (Jiangsu) Co. Ltd.
Grammer AG is specializing in the development and manufacture of components and systems for car interiors as well as driver and passenger seats for off-road vehicles, trucks, buses and trains. It has more than 30 production and distribution sites in 18 countries.
The joint venture with Yuhua will help Grammer AG to set up a presence and to set root in China, the world's largest market for trucks.
Yuhua, a well-established Chinese supplier of components and systems for cars and commercial vehicles, will contribute a new production site as well as its existing truck seat business and customer base to the joint venture.

Die internationale Anwaltssozietät Clifford Chance hat die Grammer AG, Amberg/Oberpfalz, bei der Vereinbarung eines Joint Ventures mit der chinesischen Jiangsu Yuhua Automobile Parts Co. Ltd. (Yuhua), zur Herstellung und zum Vertrieb von Sitzen für Lkw und Busse in China beraten. Grammer wird mit 60 Prozent und Yuhua mit 40 Prozent an dem Joint Venture beteiligt sein. Yuhua, ein etablierter chinesischer Zulieferer von Komponenten und Systemen für Nutzfahrzeuge und Pkw, bringt eine neue Produktionsstätte sowie sein bestehendes Lkw-Sitzgeschäft und eine etablierte Kundenbasis in das Joint Venture ein.
