Clifford Chance advises Allianz on the Joint Venture for the acquisition of "Warsaw Financial Center"
Clifford Chance advised various companies of the Allianz Group led by Allianz Real Estate Germany GmbH on a joint venture with Curzon Capital III, a fund managed by Tristan Capital Partners, for the acquisition of the "Warsaw Financial Center". Furthermore, Clifford Chance acted as advisor regarding the asset management contract with a company of the Tristan Group.
The joint venture has signed a purchase agreement for the "Warsaw Financial Center" for EUR 210 million. This transaction remains subject to the approval from the competent antitrust authorities. Allianz participates in the joint venture with a percentage of 87.5; the remaining 12.5 percent are held by Curzon Capital III.
The "Warsaw Financial Center" (WFC) is located in the center of Warsaw. Its construction was completed in 1998. The building with a floor space of about 50,000 sqm is let to 98 percent. The tenants mainly include international companies such as law firms, consulting firms and banks.
The Clifford Chance team was led by partner Dr. Christian Keilich and comprised counsel Dr. Fabian Böhm, senior associate Henning Aufderhaar (all Real Estate), as well as partner Christine Koziczinski (Corporate) and partner Marco Simonis (Tax) – all Frankfurt. Die internationale Anwaltssozietät Clifford Chance hat verschiedene Gesellschaften der Allianz-Gruppe unter Führung der Allianz Real Estate Germany GmbH beim Abschluss eines Joint Ventures für die Beteiligung an dem Bürogebäude "Warsaw Financial Center" mit Curzon Capital III, einem von Tristan Capital Partners verwalteten Fonds, beraten. Daneben war Clifford Chance auch beim Abschluss des Asset Management Vertrags mit einer Gesellschaft der Tristan-Gruppe beratend tätig.
Die Joint Venture-Gesellschaft hat einen Kaufvertrag für das "Warsaw Financial Center" zu einem Preis von 210 Millionen Euro abgeschlossen. Die Transaktion steht noch unter dem Vorbehalt kartellamtlicher Freigabe. Die Allianz ist mit 87,5 Prozent an dem Joint Venture beteiligt; die restlichen 12,5 Prozent entfallen auf Curzon Capital III.
Das "Warsaw Financial Center" (WFC) befindet sich im Zentrum Warschaus und wurde 1998 fertiggestellt. Das Gebäude mit rund 50.000 Quadratmetern Nutzfläche ist derzeit zu 98 Prozent vermietet. Mieter des Büroturms sind überwiegend internationale Unternehmen, darunter Anwaltskanzleien, Beratungsunternehmen und Banken.
