Clifford Chance advises Volkswagen Aktiengesellschaft on the issuance of U.S.$ 3.35 billion of bonds by Volkswagen International Finance

Clifford Chance advised Volkswagen Aktiengesellschaft and its subsidiary Volkswagen International Finance N.V. on the issuance of U.S.$ 3.35 billion of bonds by Volkswagen International Finance N.V. primarily to U.S. institutional investors pursuant to Rule 144A of the Securities Act of 1933.  The bonds are irrevocably and unconditionally guaranteed by Volkswagen Aktiengesellschaft. Volkswagen International Finance's three issuances of bonds primarily to U.S. institutional investors since August 2010 have resulted in a total of U.S.$7.8 billion in funding for the Volkswagen Group.

The bonds were issued in four tranches: the U.S.$ 1.25 billion 1.625% senior notes due 2015, the U.S.$ 1 billion 2.375% senior notes due 2017, the U.S.$ 250 million floating rate senior notes due 2013, and the U.S.$ 850 million floating rate senior notes due 2014.

Clifford Chance berät Volkswagen AG und Volkswagen Inter-national Finance N.V. bei der Emission einer 3,35 Mrd. US-Dollar-Anleihe an institutionelle Investoren

Die internationale Anwaltssozietät Clifford Chance hat die Volkswagen Aktiengesellschaft und deren Tochtergesellschaft Volkswagen International Finance N.V. bei der Emission einer vornehmlich an institutionelle Investoren in den USA platzierten Anleihe gemäß Rule 144A des Securities Act of 1933 über 3,35 Milliarden US-Dollar beraten. Die Bonds sind durch eine unwiderrufliche und unbedingte Garantie der Volkswagen Aktiengesellschaft besichert.

Bei drei Transaktionen seit August 2010 hat Volkswagen International Finance Anleihen im Wert von insgesamt 7,8 Milliarden US-Dollar vornehmlich an institutionelle US-Investoren emittiert.

Die Emission der Anleihen erfolgt in vier Tranchen: Die erste Tranche über 1,25 Milliarden US-Dollar ist 2015 fällig und wird mit 1,625% jährlich verzinst. Die zweite Tranche hat ein Volumen von 1 Milliarde US-Dollar, einen festen Kupon von 2.375% jährlich und ist 2017 fällig. Die dritte Tranche ist 2013 fällig, hat einen Nennbetrag von 250 Millionen US-Dollar und ist variabel verzinslich. Die vierte, ebenfalls variabel verzinsliche Tranche ist 2014 fällig und hat ein Volumen von 850 Millionen US-Dollar.
