Clifford Chance advises Andrem Power S.C.A. and Nordic Capital on a public takeover offer for 3W Power S.A.

Clifford Chance advised Andrem Power S.C.A., a company indirectly wholly owned by Nordic Capital Fund VII, on a voluntary public takeover offer for all outstanding shares of 3W Power S.A. 3W Power is the holding company of AEG Power Solutions Group, a global leading manufacturer of power electronic systems and solutions for industrial power supplies and renewable energies.

Nordic Capital Funds are based in Jersey, Channel Islands, and have invested in large and medium sized companies, primarily in the Nordic region. The most recent fund is Nordic Capital Fund VII with EUR 4.3 billion in committed capital, principally provided by international institutional investors, such as pension funds, asset managers and insurance companies.

Die internationale Anwaltssozietät Clifford Chance hat Andrem Power S.C.A., die indirekt zu 100 Prozent von Nordic Capital Fund VII gehalten wird, bei der Abgabe eines freiwilligen öffentlichen Übernahmeangebots für alle ausstehenden Aktien der 3W Power S.A. beraten. 3W Power ist die Holdinggesellschaft von AEG Power Solutions B.V., einem weltweit führenden Hersteller von leistungselektronischen Systemen und Lösungen für die industrielle Stromversorgung und erneuerbare Energieanwendungen.

Nordic Capital Fonds mit Sitz in Jersey investiert in Unternehmen in Nordeuropa und selektiv international. Der aktuelle Fonds Nordic Capital Fund VII verfügt über Eigenkapitalzusagen von EUR 4,3 Milliarden von überwiegend internationalen, institutionellen Investoren wie Pensionsfonds, Vermögensverwaltern und Versicherungen.
