Clifford Chance advises Shell Deutschland Oil on a lease agreement with Nynas

Clifford Chance advised Shell Deutschland Oil GmbH on the conclusion of a lease agreement with Swedish oil processor Nynas AB as well as its German subsidiary Nynas GmbH & Co. KG.

The term of the lease agreement is 25 years. It secures Nynas complete and long-term full operational control over the base oil manufacturing plant and some associated refining facilities of the Hamburg-Harburg refinery. The consummation of the agreement is subject to antitrust clearance by the European Commission.

The Hamburg-Harburg refinery specialises in using crude oil to produce base oil products. It can process approx. 5.5 million tons of crude oil per year. Approx. 530 Shell employees work on the site, which (with the North and South areas of the refinery as well as the external fuel tank) consists of a total area of approx. 210 hectares.

Clifford Chance berät Shell Deutschland Oil bei Abschluss eines Pachtvertrags mit Nynas

Die internationale Anwaltssozietät Clifford Chance hat Shell Deutschland Oil GmbH beim Abschluss eines Pachtvertrags mit dem schwedischen Ölverarbeiter Nynas AB sowie dessen deutscher Tochtergesellschaft Nynas GmbH & Co. KG beraten.

Die Laufzeit des Pachtvertrags beträgt 25 Jahre. Er sichert Nynas die vollständige und langfristige operative Kontrolle über die Grundölverarbeitungskapazitäten und die damit zusammenhängenden Raffineriekapazitäten der Raffinerie Hamburg-Harburg. Der Vollzug der Vereinbarung steht unter dem Vorbehalt der Kartellfreigabe durch die Europäische Kommission.

Die Raffinerie Hamburg-Harburg ist darauf spezialisiert, aus Rohöl Grundölprodukte herzustellen. Sie kann rund 5,5 Millionen Tonnen Rohöl pro Jahr verarbeiten. Rund 530 Shell-Mitarbeiter sind auf dem Werksgelände beschäftigt, das mit den Raffinerie-Teilen Nord und Süd sowie dem Außentanklager eine Gesamtfläche von circa 210 Hektar umfasst.
