Clifford Chance advises RWE on the sale of their shares in the Belgian power plant Zandvliet to BASF
Clifford Chance advised RWE Power AG and RWE Supply & Trading GmbH on the sale of their participation in the Belgian power plant Zandvliet Power to BASF Antwerpen NV. The transaction closed on 25 November 2011.
RWE and the Belgian energy company Electrabel each held 50% of the shares of the combined cycle power plant.
The power station has been in operation since 2005. The plant has a capacity of over 400 megawatts and can supply up to 300 tons of steam per hour.
BASF Antwerpen NV is a wholly owned subsidiary of BASF SE, Ludwigshafen (Germany).
The Clifford Chance team was lead by partners Dr. Christoph Witte and Dr. Peter Rosin and included counsel Dr. Thomas Brunn (all Corporate, Düsseldorf) as well as partner Xavier Remy and associates Frederick Boels and Eric Blomme in the Brussels office.
A Clifford Chance team led by Dr. Peter Rosin advised RWE already on the foundation of the power plant joint venture with Electrabel.

Die internationale Anwaltssozietät Clifford Chance hat die RWE Power Aktiengesellschaft und RWE Supply & Trading GmbH beim Verkauf der Beteiligung am belgischen Kraftwerk Zandvliet Power an BASF Antwerpen NV beraten. Die Transaktion wurde am 25. November 2011 rechtlich abgeschlossen.
Das Gas- und Dampfturbinenkraftwerk gehörte zu jeweils 50 Prozent RWE und dem belgischen Energieunternehmen Electrabel.
Das Kraftwerk ist seit 2005 in Betrieb. Die Anlage verfügt über eine Leistungsfähigkeit von 400 Megawatt und kann bis zu 300 Tonnen Dampf pro Stunde liefern.
Die BASF Antwerpen NV ist eine 100-prozentige Tochter der BASF SE, Ludwigshafen.
Das Beratungsteam von Clifford Chance unter Leitung der Partner Dr. Christoph Witte und Dr. Peter Rosin bestand aus Counsel Dr. Thomas Brunn (alle Corporate, Düsseldorf) sowie Partner Xavier Remy und Associates Frederick Boels und Eric Blomme im Büro Brüssel.
Unter der Federführung von Dr. Peter Rosin hat Clifford Chance RWE bereits bei der Gründung des Kraftwerks-Joint Ventures mit Electrabel beraten.
