Clifford Chance advises IVG Immobilien AG on its capital increase
The international law firm Clifford Chance advised IVG Immobilien AG on its capital increase against contribution in cash from authorised capital, excluding any pre-emptive rights. Deutsche Bank and UBS were the joint lead managers and joint book runners of the transaction. Since 16 February 2011, the new shares are quoted on the Frankfurt Stock Exchange in the prime standard segment. The placement volume is at around 90 million Euros.
The new shares were offered for purchase in an accelerated book building to qualified investors within and outside of Germany (including a Rule 144A placement in the United States of America).
The Clifford Chance team consisted of partner Markus Pfüller, counsel David Detweiler and associates Christian Wöckener-Erten and Robert Nachama (all Banking and Capital Markets, Frankfurt) as well as partner Dr. Thomas Stohlmeier and associate Dr. Christian Vogel (both Corporate, Düsseldorf).

Die internationale Anwaltssozietät Clifford Chance hat die IVG Immobilien AG bei ihrer Kapitalerhöhung gegen Bareinlage aus genehmigtem Kapital unter Ausschluss der Bezugsrechte beraten. Joint Lead Manager und Joint Bookrunner der Transaktion waren die Deutsche Bank und UBS. Die Einbeziehung der neuen Aktien in die Notierung an der Frankfurter Wertpapierbörse im Prime Standard fand am 16. Februar 2011 statt. Das Emissionsvolumen liegt bei rund 90 Millionen Euro.
Die neuen Aktien wurden im Wege eines beschleunigten Platzierungsverfahrens (Accelerated Bookbuilding) qualifizierten Anlegern innerhalb und außerhalb Deutschlands (einschließlich einer Platzierung nach Rule 144A in den Vereinigten Staaten von Amerika) zum Erwerb angeboten.
