Clifford Chance advises investment group on the purchase of additional senior care homes
The Munich Real Estate team of the international law firm Clifford Chance advised an investment group consisting of Real Estate Venture Capital, London, and an Israeli family office on three single transactions in the fourth quarter of 2010 concerning the purchase of senior care homes located in different areas of North Rhine-Westphalia. Each of the homes was purchased turnkey from the building contractor/project developer, and the purchases included not only the properties, but also the shares in the owner companies.
Thus, the Munich offices of Clifford Chance have supervised a total of 11 similarly structured single transactions for the investment group, including structuring, financing, developing construction and leasing. The complete care home portfolio, which has a market value of over €100 million, is being leased to the Duisburg Stella Vitalis group, which is becoming a local market leader in North Rhine-Westphalia.
The Clifford Chance team was led by partner Dr. Horst Schlemminger and consisted of associates Bettina Krause, Barbara Rybka and Martin Barlösius (all Real Estate, Munich) and partner Thorsten Sauerhering and associate Dr. Dominik Engl (both Tax, Frankfurt).

Das Münchner Real Estate Team der internationalen Anwaltssozietät Clifford Chance hat eine aus Real Estate Venture Capital, London, und einem israelischen Family Office bestehende Investorengruppe im 4. Quartal 2010 gleich bei drei Einzeltransaktionen – dem Erwerb von Seniorenpflegeheimen an verschiedenen Standorten in Nordrhein-Westfalen – beraten. Die Ankäufe erfolgten jeweils schlüsselfertig vom Bauträger/Projektentwickler; erworben wurden nicht die Immobilien selbst, sondern die Geschäftsanteile an den Eigentümergesellschaften.
Damit hat Clifford Chance München in den letzten beiden Jahren insgesamt 11 Einzeltransaktionen der Investorengruppe mit ähnlicher Struktur komplett, d.h. einschließlich Strukturierung, Finanzierung, Bauphasenabwicklung und Vermietung betreut. Das gesamte Pflegeheimportfolio, das einen Marktwert von über 100 Millionen Euro hat, ist an die Duisburger Stella Vitalis Gruppe vermietet, die sich zu einem lokalen Markführer in Nordrhein-Westfalen entwickelt.
