Clifford Chance advises Beijing Capital City Development Group Co., Ltd. as offeror on the privatisation of Beijing Capital Grand Limited

Global law firm Clifford Chance has advised Beijing Capital City Development Group Co., Ltd. (BCCDG) on the privatisation, through its wholly-owned subsidiary, of Beijing Capital Grand Limited, a company incorporated in the Cayman Islands and listed on the Hong Kong Stock Exchange. The privatisation was implemented by way of scheme of arrangement and involved a conditional cash offer for all of the outstanding perpetual convertible bond securities issued by Beijing Capital Grand Limited. The scheme was effective on 27 January 2025.

Lead partner Tommy Tam said, “We are very pleased to have been appointed by BCCDG again on this strategically important transaction, after advising them on the successful privatisation of Beijing Capital Land in 2021. We would like to thank BCCDG for their trust in our M&A and capital markets team. We look forward to their future success.”

Tommy was supported by senior associate Anson Wong, associate Sabrina Leung and trainee solicitor Ryan Henry Ho.

Beijing Capital Grand Limited and its subsidiaries are principally engaged in commercial property development and management, with a focus on the development, operation and management of outlets-backed commercial integrated projects and non-outlets retail property projects in the PRC.
