Clifford Chance advised Ideol's shareholders on the acquisition of a strategic stake by the BW Offshore group
Oil and gas services provider BW Offshore acquired a strategic stake of approximately 50% of the shares in Ideol S.A., one of the global leaders in floating offshore wind technology.
The 60 million euro investment by the BW Offshore group was carried out by a separate entity, BW Ideol AS, of which Ideol S.A. is now a 100% subsidiary.
In parallel with the completion of this acquisition, the private placement of new shares in BW Ideol AS with gross proceeds of NOK 575 million was completed and its shares were admitted to trading on Euronext Growth Oslo.
Clifford Chance advised Ideol's shareholders on this transaction with a team consisting of Laurent Schoenstein, partner, and Katerina Drakoularakou, associate, on the corporate aspects, Cécile Zoro, counsel, on the employment law aspects, Omar El Arjoun, counsel, on the tax aspects, Emily Xueref-Poviac, counsel, on the aspects relating to foreign investment control, Gauthier Martin, partner, Clément Fricaudet and Elise Mayer, associates, on the public law aspects, as well as Alexandre Manasterski, associate, on the commercial contract aspects.

Le fournisseur de services pétroliers et gaziers BW Offshore a finalisé sa prise de participation stratégique d'environ 50 % des actions d'Ideol S.A., un des leaders mondiaux de l'éolien en mer flottant.
Le montant de l'investissement du groupe BW Offshore s'élève à 60 millions d'euros et a été réalisé au travers d’une entité distincte, BW Ideol AS, dont Ideol S.A. est désormais une filiale à 100 %.
En parallèle avec la réalisation de cette acquisition, un placement privé de nouvelles actions d'un montant de NOK 575 millions a été réalisé au niveau de BW Ideol AS et ses actions ont fait l'objet d'une cotation sur Euronext Growth Oslo.
