Clifford Chance advises Grohe Group on its takeover by Lixil Corporation
Clifford Chance advised bathroom fitting specialist Grohe Group on its takeover by Lixil Corporation, a Japanese building materials and housing equipment producer. The takeover is based on a dual-track sale process in which Grohe Group contemplated both an IPO and a trade sale.
Lixil Corporation and the Development Bank of Japan have entered into an agreement to acquire an 87.5% equity interest in Grohe Group from Texas Pacific Group (TPG) and DLJ Merchant Banking Partners, which had purchased their holdings in 2004. The implied enterprise value, including debts, is EUR 3.06 billion. The transaction is subject to customary regulatory and antitrust approvals and looks set to be completed in Q1 2014. Grohe Group and its Chinese subsidiary Joyou will become an affiliated company of Lixil Corporation.
Headed by Grohe Group S.à r.l. Luxembourg, Grohe Group has a global workforce averaging 9,000 employees (including around 3,400 at Joyou and a German workforce of 2,300). Grohe Group generated consolidated sales of around EUR 1.4 billion in 2012.

Die internationale Anwaltssozietät Clifford Chance hat die Grohe Gruppe bei der Übernahme durch den japanischen Armaturenhersteller Lixil Corporation beraten. Der Übernahme war ein Dual Track-Verfahren vorausgegangen, in dem die Grohe Gruppe sowohl einen Börsengang als auch einen Verkauf erwogen hatte.
Lixil Corporation erwirbt gemeinsam mit der Development Bank of Japan 87,5 Prozent der Anteile. Verkäufer sind mittelbar die Texas Pacific Group (TPG) und DLJ Merchant Banking Partners, die diese Beteiligung bisher hielten. Sie hatten Grohe im Jahr 2004 übernommen. Der Transaktion liegt ein Unternehmenswert (inklusive Schuldenübernahme) von 3,06 Milliarden Euro zugrunde. Die Übernahme unterliegt den üblichen Genehmigungen der Aufsichts- und Kartellbehörden und wird voraussichtlich im ersten Quartal 2014 abgeschlossen. Die Grohe Gruppe und ihre chinesische Tochterfirma Joyou bleiben innerhalb des japanischen Konzerns eigenständig.
Die Grohe Gruppe unter Führung der Grohe Group S.à r.l., Luxembourg, beschäftigt weltweit durchschnittlich rund 9.000 Mitarbeiter (davon rund 3.400 bei Joyou), von denen rund 2.300 bei den Grohe-Gesellschaften in Deutschland arbeiten. Im Jahr 2012 erzielte die Grohe Group einen konsolidierten Umsatz in Höhe von rund 1,4 Milliarden Euro.
