Clifford Chance advises Jiangsu Jinsheng Industry on the acquisition of the Natural Fibers and Textile Components business units from Oerlikon

Clifford Chance advised Chinese Group Jiangsu Jinsheng Industry Co., Ltd. on the acquisition of the Natural Fibers and Textile Components business units from Oerlikon Corporation AG, Pfäffikon (Switzerland). The purchase price was based on an enterprise value of around CHF 650 million. The transaction is subject to clearance by the relevant antitrust authorities.

The business units being sold by Oerlikon accounted for sales of approximately CHF 1.1 billion in 2011. Jinsheng Industry intends to take over all 3,800 employees and all production sites pertaining to the business units. After closing, they will operate under the traditional company name 'Saurer', reviving the name of the company which was merged into Oerlikon in 2007.

Jinsheng Industry is a leading manufacturer of high-end CNC machines and tools, textile recycling machines and medical testing equipment. It is based in the Jiangsu province in China.

Jinsheng Industry was already advised by Dr. Stefanie Tetz, Glen Ma and the German and China team of Clifford Chance in 2010/2011 on the acquisition of a 50% stake in EMAG Holding GmbH.

Die internationale Anwaltssozietät Clifford Chance hat den chinesischen Konzern Jiangsu Jinsheng  Industry Co., Ltd. beim Erwerb der Geschäftseinheit Natural Fibers und Textile Components des Segments Textile der Oerlikon Corporation AG, Pfäffikon (Schweiz), beraten. Der Kaufpreis basiert auf dem Unternehmenswert in Höhe von rund 650 Millionen Schweizer Franken. Die Transaktion steht  unter Vorbehalt der Zustimmung durch die zuständigen Kartellbehörden.

Die von Oerlikon veräußerten Geschäftseinheiten erzielten 2011 einen Gesamtumsatz von rund 1,1 Milliarden Schweizer Franken. Jinsheng Industry beabsichtigt, alle 3.800 Mitarbeiter und sämtliche Betriebsstätten der akquirierten Geschäftseinheit zu übernehmen. Diese soll nach Abschluss der Transaktion unter dem Traditionsnamen Saurer, dem Namen des Unternehmens, das im Jahr 2007 in Oerlikon aufging, firmieren.

Jinsheng Industry zählt zu den führenden Herstellern von Premium CNC-Maschinen und -Werkzeugen sowie Textilrecycling-Maschinen und Medizintestverfahren. Das Unternehmen ist seit dem Jahr 2000 in der chinesischen Provinz Jiangsu ansässig.

Jinsheng Industry wurde bereits 2010/2011 beim Erwerb einer 50-prozentigen Beteiligung an der EMAG Holding GmbH von Dr. Stefanie Tetz und Glen Ma und einem deutsch-chinesischen Team von Clifford Chance begleitet.
