Clifford Chance advises Airbus, Safran and Tikehau Ace Capital on all antitrust and FDI aspects in relation to an agreement with Eramet for the joint acquisition of Aubert & Duval
The consortium including Airbus, Safran and Tikehau Ace Capital signed a Memorandum of Understanding with the mining and metallurgical group Eramet for the acquisition of its subsidiary Aubert & Duval. The three partners intend to acquire 100% of Aubert & Duval through a new joint holding company that would be specifically set up for this transaction and in which they would have equal ownership rights.
Aubert & Duval is a strategic supplier of critical parts and materials for a number of demanding industry sectors, notably the aerospace, defence and nuclear industries.
This acquisition would allow Airbus and Safran to secure the strategic supply chain, for themselves as well as other customers, and new material development for current and future civil and military aircraft and engine programmes. It is also consistent with the initiatives taken in the last few years to support the French aerospace industry’s supply chain, and in particular the creation, with the help of the French State, of the Ace Aéro Partenaires fund managed by Tikehau Ace Capital.
The proposed transaction is subject to consultation with relevant employee representative bodies and all necessary regulatory approvals. The closing is expected in the fourth quarter of 2022.
In the context of this operation, a “specific share” was set up by the French State within Eramet with the scope of certain strategic assets held by Aubert & Duval. This specific share will be replaced by a similar one within Aubert & Duval, upon completion of the transaction.

Le consortium composé d'Airbus, Safran et Tikehau Ace Capital a signé un accord (Memorandum of Understanding) avec le groupe minier et métallurgique Eramet en vue d’acquérir sa filiale Aubert & Duval. Les trois partenaires visent l’acquisition de la société à travers une holding détenue à parts égales créée à cet effet.
Aubert & Duval est un fournisseur stratégique de matériaux et pièces critiques pour des industries particulièrement exigeantes, notamment l’aéronautique, la défense et le nucléaire.
Cette acquisition permettrait à Airbus et Safran, ainsi qu’aux autres clients d’Aubert & Duval, de sécuriser leur approvisionnement stratégique et le développement de nouveaux matériaux destinés aux programmes d’avions et de moteurs civils et militaires, actuels et futurs. Cette opération s’intègre aux initiatives de soutien à l’ensemble de la filière aéronautique française prises ces dernières années, notamment la création du fonds Ace Aéro Partenaires, géré par Tikehau Ace Capital, avec l’appui de l’Etat français.
L’opération est soumise à la consultation des instances de représentation du personnel et aux autorisations réglementaires. Sa finalisation est attendue au quatrième trimestre 2022.
Dans le cadre de cette opération, une action spécifique a été instituée par l’Etat au capital d’Eramet, protégeant certains actifs stratégiques détenus par Aubert & Duval. Cette action spécifique sera remplacée par une action de même nature au sein d’Aubert & Duval à la réalisation effective de la transaction.
