Jason Myers' practice focuses on public and private capital markets and other corporate finance and general corporate transactions in the real estate, hospitality and specialty finance sectors.

Jason has advised sponsors, investment banks, REITs, specialty finance companies, and business development companies in their capital raising activities, including initial public offerings, follow-on equity and debt transactions, 144A offerings and other private placements and PIPEs. He has extensive experience advising public companies on securities compliance, corporate governance and other corporate advisory matters.

Jason also works extensively with sponsors and distribution participants in the non-traded sector, having advised on a variety of transactions including formation and capital raising transactions, joint ventures and liquidity events.

  • CNL Financial Group, as sponsor, in connection the formation of CNL Strategic Capital LLC, a public non-traded company, and continuous public offerings of over US$1 billion in common shares
  • Greenbacker Renewable Energy Company, a public non-traded renewable energy and investment management company, in connection with a management internalization transaction and ongoing representation
  • CION Investments in connection with multiple joint ventures to sponsor various investment products targeting the retail distribution channel
  • Cantor Fitzgerald as co-sponsor of two opportunity zone funds (each structured as a REIT) and managing-broker dealer of several DST Regulation D offerings
  • Chambers Street Properties, formerly a non-traded REIT sponsored by CB Richard Ellis, in its private and public capital raising activities, NYSE listing and tender offer and US$3 billion merger with Gramercy Property Trust, a NYSE listed REIT
  • Empire State Realty Trust on its US$1 billion IPO and concurrent consolidation of a real estate portfolio of 18 properties (including the Empire State Building), representing one of the largest REIT IPOs in US history
  • Montecito Medical Real Estate, one of the largest acquirers of medical office buildings in the U.S., in a series of private funds focused on medical office buildings and vet funds
  • Goldman Sachs and J.P. Morgan, as lead underwriters in connection with a US$569 million initial public offering of shares of common stock of Broadstone Net Lease, Inc., a NYSE-listed REIT
  • Wells Fargo, as lead underwriter, in connection with a US$136 million initial public offering of shares of common stock of Angel Oak Mortgage, Inc, a NYSE-listed mortgage REIT
  • Goldman Sachs, as lead underwriter, in connection with a US$325 million secondary offering by certain selling stockholders affiliated with Blackstone of shares of common stock of Park Hotels & Resorts, a NYSE-listed lodging REIT (a spin-off of Hilton)
  • Aspen Digital, in connection with the formation of a private REIT (and related private digital token offering) to acquire the St. Regis Aspen Resort
