Tiffany represents clients in mergers and acquisitions, reinsurance, insurance regulatory, data privacy and capital markets transactions within the insurance and financial services industry.
- Negotiating and drafting principal master transaction agreements, funds withheld, coinsurance and modified coinsurance reinsurance and retrocession agreements, trust agreements and investment management agreements, in connection with various reinsurance transactions, including the representation of:
- A client in a $1.5 billion reinsurance transaction of single premium immediate annuities and deferred fixed annuities.
- A client in connection with a series of annuity flow reinsurance transaction of up to $2 billion in reinsurance premiums.
- A large life insurance company and its affiliates as to the structure of a series of retrocession transactions of block life and flow annuity contracts on funds withheld and modified coinsurance bases.
- A global asset management company and a large life and annuity insurance company in the establishment of their pension risk transfer programs.
- Conducting due diligence, preparing regulatory filings, and drafting and negotiating principal transaction documents, including stock purchase agreements, equity purchase agreements, reinsurance agreements, administrative services agreements, investment management agreements in connection with company mergers and divestitures, including the representation of:
- Prudential Financial, Inc. in the sale of a $31 billion portion of its in-force legacy variable annuity block for $2.2 billion to Fortitude Re.
- MetLife in a $1.7 billion acquisition of Versant Health, Inc. from an investor group led by Centerbridge Partners and FFL Partners.
- Security Benefit Life Insurance Company and Everly Holdings in the reinsurance of closed blocks of life insurance and the acquisition of Settlers Life Insurance Company from National Guardian Life Insurance Company.
- Porch Group in its $100 million acquisition of Homeowners of America from the leading insurtech venture capital firm IA Capital.
- Porch Group, Inc. in its acquisition of CSE Insurance Group, a personal lines insurer focused on property and auto in California.
- A consortium of investors led by Cornell Capital LLC, Atlas Merchant Capital LLC, TRB Advisors LP, Global Atlantic Financial Group, Pine Brook, J. Safra Group, and The Hartford in the sale of Talcott Resolution to Sixth Street.

Tiffany received her J.D., magna cum laude, from New York Law School, where she was a Global Fellow Scholar, Harlan Scholar, and as a Pro Bono Scholar she provided over 400 hours of pro bono services to underserves clients in landlord-tenant litigation in Manhattan and the Bronx.
While in law school, Tiffany also served as the Co-Preside of the Legal Associate for Women, member of the Dean's Leadership Council, the New York Law School Law Review and the Dispute Resolution Team, placing as a finalist in the 2018 ABA Regional Arbitration Competition.
Prior to law school, Tiffany received her B.A., cum laude, from The George Washington University.
Tiffany is admitted to practice in New York, New Jersey and Texas.
