Bart Denys

Bart Denys specialises in corporate and financial law, with a specific focus on Funds & Investment Management related matters. He has extensive experience in both transactional and regulatory work across a broad range of fund structures, including both public funds (UCITS) and private funds (AIFs) in the private equity and private debt space.

On the transactional side, Bart assists clients on fund structuring mandates, mergers & acquisitions, fund raising and investor negotiations, fund financings and the set-up and governance of regulated investment fund managers. On the regulatory side, he advises on a wide variety of topics such as UCITS, AIFMD, MIFID 2 and, most recently, the transition towards more sustainable finance (including SFDR and the EU Green Taxonomy).

Bart also teaches part-time at the KU Leuven, where he lectures a course on Funds & Investment Management for Master & LLM Students.


Public funds (UCITS) highlights include:

  • Credit Suisse on, among others,
    • a comprehensive compliance exercise with the EU Sustainable Finance Disclosure Regulation (SFDR) and EU Taxonomy Regulation across its entire Luxembourg funds platform and other entities of the Credit Suisse group
    • the spin-off of a family of index products from its Luxembourg funds platform to its newly launched Irish ETF platform CS (IE) ETF
    • the set-up of CS Investment Funds 6, an umbrella fund dedicated to investments with a particular focus on the People’s Republic of China; and
    • the conversion of Credit Suisse Index Fund (Lux) in a hybrid structure, combining classic share classes with exchange traded share classes (ETF shares)
    • numerous fund launches as well as a series of mergers and similar transactions to optimize economies of scale and scope across its Luxembourg funds platform
  • Citigroup Global Markets Limited on the set-up of a sophisticated UCITS platform pursuing a diverse range of investment strategies, including synthetic index tracking, volatility arbitrage, CPPI and others
  • Various UCITS promoters on ensuring compliance with regulatory developments such as UCITS IV, UCITS V, SFTR, BMR, MIFID 2, GDPR, Brexit and SFDR
  • Secondments to the asset management division of a leading Swiss banking and financial services group in Luxembourg and the investment banking branch of a U.S. financial institution in London

Private funds (AIF/AIFM) highlights include:

  • JAB Consumer Partners on
    • the set-up of JAB Consumer Partners SCA SICAR, a $20 billion private equity fund investing in a series of strategic acquisition platforms in the fast-moving consumer goods (FMCG) and the pet & vet care space
    • the set-up of JAB Consumer Fund Management Sàrl, the SICAR’s dedicated management company, one of the first AIFMD compliant alternative investment fund managers in Luxembourg
  • DWS on the structuring, marketing and successive investor closings of
    • Pan-Europe Infrastructure Fund II (PEIF II)
    • Pan-Europe Infrastructure Fund III (PEIF III)
    • Private Equity Solutions (PES)
    • Sustainable Green Infrastructure Fund (SGIF)
  • DWS on the asset sale of its secondaries business, including the spin-off of its Private Equity Solutions (PES) fund to Brookfield
  • Blue like an Orange Capital on the set-up of Blue like an Orange Sustainable Capital Fund SICAV-SIF SCS, a fund seeking to achieve market rates of financial return while simultaneously addressing significant social challenges around the world with particular focus on the U.N. Sustainable Development Goals (SDGs)
  • Africa 50 and Blue like an Orange Capital on their joint venture investment platform targeting sustainable investments in Africa
  • Rothschild & Co on the structuring, marketing and successive investor closings of several of its flagship private equity, private debt funds and sustainable investment funds, as well as ongoing corporate and regulatory advice to Rothschild & Co Investment Managers S.A., the Luxembourg alternative investment fund manager for its entire “Five Arrows” closed-ended funds platform
  • Mubadala Investment Company on the set-up of MIC Capital Partners (Ventures) Europe Parallel (Luxembourg) SCSp, Mubadala’s first AIFMD compliance fund in Luxembourg
  • Oaktree Capital Management L.P. on the establishment of its Luxembourg closed-ended funds platform, consisting of unregulated limited partnerships investing in parallel with Oaktree’s US funds platform, including:
    • Oaktree European Principal Fund IV SCS
    • Oaktree Real Estate Debt Fund II SCS
