Clifford Chance advises JBIC on co-acquisition of German high-tech metals specialist H.C. Starck
International law firm Clifford Chance has advised Japan Bank for International Cooperation (JBIC) on the subscription of non-voting class shares in JX Metals Deutschland GmbH (JXMD), a wholly owned company of JX Nippon Mining & Metals Corporation, with amounting up to EUR 85.6 million.
JXMD was established with the purpose of acquiring all shares in H.C. Starck Tantalum and Niobium GmbH, one of the world's leading suppliers of Tantalum and Niobium products (high-purity metal powders), which are widely used in the Japanese electronics industry.
The Clifford Chance team advising JBIC led by Corporate partners Jörg Rhiel (Frankfurt) and Tatsuhiko Kamiyama (Tokyo) comprised counsel Werner Brickwedde (Düsseldorf), senior associate Yusuke Kobayashi (Tokyo) and associate Maria Luisa Köhler (Düsseldorf).

Die internationale Anwaltssozietät Clifford Chance hat die Japan Bank for International Cooperation (JBIC) bei der Zeichnung von nicht stimmberechtigten Anteilen der JX Metals Deutschland GmbH (JXMD) mit einem Volumen von bis zu 85,6 Millionen Euro rechtlich beraten.
JXMD ist eine hundertprozentige Tochtergesellschaft der JX Nippon Mining & Metals Corporation und wurde mit dem Ziel gegründet, alle Anteile an H.C. Starck Tantalum und Niobium GmbH zu erwerben, einem der weltweit führenden Anbieter von hochreinen Metallpulver-Produkten, die in der japanischen Elektronikindustrie weit verbreitet sind.
Das beratende Clifford Chance-Team für JBIC umfasste die Partner Dr. Jörg Rhiel (Frankfurt) und Tatsuhiko Kamiyama (Tokio) sowie Counsel Dr. Werner Brickwedde (Düsseldorf), Senior Associate Yusuke Kobayashi (Tokio) und Associate Maria Luisa Köhler (Düsseldorf) - alle Gesellschaftsrecht/M&A).
