Clifford Chance advises Grohe on its acquisition of a stake in the WaterTech portfolio of Dawn in South Africa
Clifford Chance has advised Grohe Group S.à r.l., Luxembourg, on its acquisition of a 51% stake in the WaterTech portfolio of South Africa-based Dawn Ltd, which generates annual gross sales of around EUR 110 million. The new company will be named Grohe Dawn WaterTech Holdings Pty Ltd.
The brands include COBRA, which is coming home to the GROHE Group given both companies were founded by the same Friedrich Grohe.
The transaction is subject to regulatory approval, as well as the approval by Dawn's shareholders.
The Grohe Group is the world's leading provider of sanitary fittings. The Group has a global workforce of around 9,300 people worldwide, including some 2,400 employees working in Germany. The Grohe Group, which generated consolidated sales of EUR 1.45 billion in 2013, was taken over by the Japan-based Lixil Group and the Development Bank of Japan in January 2014.

Die internationale Anwaltssozietät Clifford Chance hat die Grohe Group S.à r.l., Luxemburg, beim Erwerb von 51 Prozent der Anteile am Geschäftsbereich WaterTech der südafrikanischen Dawn Ltd beraten.
Der Jahresumsatz von Dawn WaterTech betrug zuletzt rund 110 Millionen Euro. Das Gemeinschaftsunternehmen von Grohe und Dawn wird unter Grohe Dawn WaterTech Holdings Pty Ltd firmieren.
Zum WaterTech-Geschäft von Dawn gehört auch das von Friedrich Grohe gegründete Unternehmen Cobra, das nun wieder Bestandteil der Grohe Gruppe wird.
Die Transaktion erfolgt vorbehaltlich der Zustimmung durch die Kartellbehörden und der Zustimmung der Aktionäre von Dawn.
Die Grohe Group ist der weltweit führende Anbieter von Sanitärarmaturen. Das Unternehmen beschäftigt weltweit rund 9.300 Mitarbeiter, davon rund 2.400 in Deutschland, und erzielte im Jahr 2013 einen konsolidierten Umsatz in Höhe von 1,45 Milliarden Euro. Im Januar 2014 wurde die Grohe Group von der japanischen Lixil Group und der Development Bank of Japan übernommen.
