Hugo Triaca's practice is in capital markets and finance transactions, primarily in Latin America.

He has extensive experience in debt and equity offerings, financings, liability management and restructuring transactions. Hugo's experience includes advising financial institutions and corporate, sovereign and sub-sovereign entities across jurisdictions, sectors and products, such as green, social and sustainable capital markets and financing transactions, project bonds, acquisition financings, exchange offers, tender offers, consent solicitations and other corporate transactions.

He also advises foreign private issuers in connection with corporate governance, US securities laws and general corporate matters.

  • BofA Securities, Inc., (A) as initial purchaser, in connection with a novel notes issuance by the Republic of El Salvador, consisting of (i) US$1 billion Notes due 2030, and (ii) US$1 billion reference notional amount of Macro Variable Interest Only Step-Up Notes, and (B) as dealer manager, in connection with El Salvador's tender offer for existing notes due 2025, 2027 and 2029.
  • COFIDE, the Peruvian state-owned development bank, on an issuance of US$300 million of sustainable notes and a related tender offer for existing subordinated notes.
  • Goldman Sachs & Co., J.P. Morgan Securities LLC and Scotia Capital (USA) Inc., as initial purchasers, in connection with a US$1.2 billion issuance of green notes by ISA Interchile S.A. This transaction was at the time the largest green project bond issuance in Latin America.
  • CMI Energía, the renewable energy business unit of agro-industrial conglomerate CMI, in connection with (i) a US$700 million issuance of green notes, and (ii) a US$300 million loan provided by a syndicate of Central American banks. CMI owns the largest renewable energy portfolio in Central America and the Caribbean with operations in Guatemala, Honduras, Nicaragua, Costa Rica, El Salvador and the Dominican Republic. This transaction was the largest green bond issuance in the Central America and the Caribbean region.
  • Empresas Públicas de Medellín E.S.P., the largest multi-utility company in Colombia, in connection with several issuances of Colombian Ps-denominated and US$-denominated notes in the international capital markets.
  • Macquarie Bank Limited on a senior secured term loan facility provided to Pipeline Investment Limited (Bermuda), a wholly-owned subsidiary of Frontera Energy Corporation, to facilitate FEC's growth in the midstream sector through the construction of a new pipeline connecting Puerto Bahía liquid terminal to the Refinería de Cartagena – Reficar.
  • LNG Energy Group, in connection with a secured credit facility to finance the acquisition of Lewis Energy Colombia, Inc.
  • Argentine infrastructure manager and developer Compañía Latinoamericana de Infrastructura & Servicios S.A. (CLISA), in connection with a debt restructuring consisting of a US$322 million exchange offer and consent solicitation.
  • BofA Securities, Inc., as initial purchaser, in connection with the Republic of Guatemala's US$1.2 billion sovereign dual-tranche bond issuance, comprised of (i) US$700 million Notes for general budgetary purposes; and (ii) US$500 million Social Notes, for eligible social investments related to the Republic of Guatemala’s COVID-19 prevention, containment and mitigation efforts.
  • Instituto Costarricense de Electricidad (ICE), the Costa Rican state-owned electricity and telecommunications services provider, in connection with an issuance of US$300 million of Sustainability-Linked Notes.
  • The Argentina Creditor Committee on the successful restructuring of approximately US$65 billion of eligible bonds by the Republic of Argentina.
