Mr. Triaca also advises foreign private issuers in connection with corporate governance, U.S. securities laws and general corporate matters.

  • the Republic of Costa Rica on a dual-tranche offering of (a) US$1.2 billion aggregate principal amount of 6.125% Notes due 2031 and (b) US$300 million aggregate principal amount of 7.158% Notes due 2045, consisting of additional 2045 notes originally issued in 2015. After giving effect to the offering of the New 2045 Notes, the total amount outstanding of Costa Rica’s 7.158% Notes due 2045 is US$1.3 billion.
  • BAML and JP Morgan as underwriters, in connection with the US$400 million Rule 144A/Reg S bond issuance by Consorcio Transmantaro S.A., an energy transmission company based in Peru. The instrument was issued a green bond, with the use of proceeds designated to finance and refinance debt for eligible green projects (as defined under ICMA's Green Bond Principles).
  • Empresas Públicas de Medellín E.S.P., Colombia’s largest public utility involved in electricity generation, transmission and distribution, natural gas distribution, and water, sewage and waste management businesses, in its:
    •  Ps.2.3 trillion offering of 8.375% senior notes due 2027
    • Ps.965,745 million offering of 7.625% senior notes due 2024
    • Ps.1.25 trillion offering of 8.375% senior notes due 2021
  • Advised on the first two green bond issuances by Argentina provinces:
    • UBS Securities LLC, in a USD$200 million initial offering and a USD$100 million re-offering of 9.750% senior notes due 2025 by the Province of La Rioja, Argentina, to develop the Parque Arauco Wind Farm Project
    • BCP Securities LLC and Santander Investment Securities Inc., in a USD$210 million offering of 8.625% senior notes due 2022 by the Province of Jujuy, to develop the Puna Solar Farm Project
  • Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, Banco Bilbao Vizcaya Argentaria, S.A., Citigroup Global Markets Inc. and Itau BBA USA Securities, Inc., as initial purchasers in a US$850 million offering of 4.250% senior notes due 2028 by Transportadora de Gas del Perú S.A., the largest transporter of natural gas and natural gas liquids in Peru
  • J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, in a private exchange offer of 9.875% senior notes due 2017 for 10.50% senior secured notes due 2021 by Camposol S.A., a leading agro-industrial company in Peru
  • Citigroup Global Markets Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, in a USD$300 million offering of 6.250% senior notes due 2019 guaranteed by Banco Agromercantil de Guatemala, S.A.
  • Citigroup Global Markets Inc. and Credit Suisse Securities (USA) LLC, in a USD$370 million offering of notes units issued by subsidiaries of The AES Corporation involved in energy generation in the Dominican Republic
  • Citigroup Global Markets Inc. and Credit Suisse Securities (USA) LLC, in:
    •  a USD$750 million offering of 5.70% senior notes due 2022 by Transportadora de Gas Internacional S.A. E.S.P., one of the two main natural gas transportation companies in Colombia
    • a related offer to purchase and consent solicitation for the company’s USD$750 million 9.50% senior notes due 2017
  • Deutsche Bank Securities Inc. and Santander Investment Securities Inc., in an offering of USD$610 million of 6.125% senior notes due 2021 by Empresa de Energía de Bogotá S.A. E.S.P., an integrated leading energy company that participates in the electricity and natural gas sectors in Colombia and Peru
  • Santander Investment Securities Inc., in a USD$150 million offering of 7.875% notes due 2024 by the City of Córdoba, the second largest city of Argentina
