Darren Littlejohn

Darren is a partner within the structured debt group of the New York office of Clifford Chance. He advises clients on a broad range of synthetic, financing and derivative products and structures. Darren's practice is diverse across asset classes and categories of clients. His client roster includes banks, asset managers, private equity sponsors, corporates, pension plans and market infrastructure providers.

Some examples of the transactions and products covered within his practice include:

  • Leverage Products, including back-leverage and warehouse financing facilities, secured by debt, equity and other asset classes.  Products include structured repo facilities, asset-back financing facilities, total return swaps, margin loans, loan-on-loan financing and derivatives-based collateral funding facilities.
  • Synthetic Investments, including synthetic risk transfer (SRT) regulatory capital relief transactions involving credit-linked notes and credit default swaps.  Other product types include structured participation agreements, contingent debt instruments and credit (non-payment) insurance.
  • Structured Finance, including asset repackaging transactions and securitization of non-traditional assets classes and cash flows.   
  • Equity/Hybrid Products, including convertible note offerings, accelerated share repurchases and equity collar hedges.

Darren has deep knowledge of the regulatory framework applicable to his transactional practice, and he regularly provides standalone regulatory advice in addition to his core transactional work.  He is highly valued by his clients for his structuring and execution expertise, which is informed by a decade of in-house experience working at Goldman Sachs.  Darren is very familiar with the insolvency regimes applicable to structured products and derivatives.  He is US opinion counsel to the International Swaps and Derivatives Association Inc. (ISDA), and he regularly writes advice and opinions on all aspects of bankruptcy laws applicable to his practice area.
