Dominic has extensive experience advising corporates and financial sponsors on complex and strategically significant cross-border transactions, with a particular focus on the healthcare, defence and consumer goods and retail sectors
- ED&F Man Holdings in relation to an exclusive agreement to dispose of ED&F Man Commodities’ three business units: Volcafe (coffee), ED&F Man Liquid Products (molasses, animal feeds and fish oil) and ED&F Man Sugar to Hartree Partners, LP.
- A large global aerospace company on its defence against an aggressive shareholder activist.
- Mondelēz International on the sale of its developed-market chewing gum business in the US, Canada and Europe to leading European gum and confectionery maker Perfetti Van Melle Group for US$1.350 billion.
- Avast plc, the FTSE100 cybersecurity service provider, on its $9.2bn takeover by NortonLifeLock,Inc.
- Triton on its £1.3bn takeover of Clinigen Group plc.
- Advanz Pharma on its $846m takeover by Nordic Capital.
- Morrisons on its long-term commercial arrangements with Amazon and Ocado.
- Avon Protection plc on over $500m of acquisitions and disposals, including:
- Its acquisition of 3M's ballistic protection business.
- Its disposal of its Milkrite business to DeLaval. - Takeda on multiple portfolio disposals including:
- The US$670 million divestment to Orifarm in Europe.
- The US$825 million divestment to Hypera Pharma in Brazil, Mexico and certain other Latin American countries.
- The US$660 million divestment to STADA in Russia, Georgia, and a number of countries from within the CIS.
- The US$200 million divestment to Acino in a number of EMEA countries, prior to joining Clifford Chance.
