Arnaud Fromion is a partner in the Debt Finance team at Clifford Chance Paris. His practice focuses on acquisition finance, including leveraged and strategic acquisitions, other corporate finance transactions and financial restructurings.
He represents banks, debt funds, financial sponsors and corporate borrowers in connection with a broad range of bank and bond financings.
- BNP Paribas, Crédit Agricole CIB, Crédit Lyonnais, Crédit Industriel et Commercial, La Banque Postale, BNP Paribas Fortis and Société Générale in connection with the conclusion of a €205 million revolving credit facility in favor of PV SA (holding company of the Pierre et Vacances / Center Parcs Group) intended to refinance the financial debt put in place at the time of the Group's financial and capital restructuring.
- Tikehau in connection with the provision of Mezzanine and PIK refinancing facilities to Consorts Groupe SAS.
- Tikehau on a €120 million bond financing in the form of bonds with staggered drawdowns, intended to finance (i) the tender offer (OPR) for Prodware SA launched by Phast Invest, (ii) the refinancing of existing indebtedness, and (iii) the repurchase and cancellation of the warrants (BSA) and preferred shares (AO) issued by Phast Invest and held by certain TKO funds. The tender offer will be launched by the presenting bank upon receipt of the bond proceeds intended to finance the entirety of the offer.
