Philip Podzebenko

Philip Podzebenko is a Partner in the Corporate group specialising in real asset M&A, investment and cross-border transactions. 

Philip brings more than 25 years of experience advising Australian and international private capital and strategic investors on acquisition and investment in real assets, including establishment of funds, joint ventures and other investment vehicles and public M&A and capital markets transactions. He has advised leading asset managers, pension funds, sovereign wealth funds, private equity firms, investment banks, insurers and other financial investors on real asset investments both in Australia and across Asia. 

He has advised clients on investments across all real estate asset classes (including commercial, industrial, retail, residential and alternative real estate), as well as investments in transportation, energy, digital and social infrastructure.

  • Scape Australia on the conversion of its $6bn flagship Core Fund into an open-ended fund and
    related capital raising and asset acquisitions.
  • Pacific Equity Partners on establishment of a joint venture with Mirvac and acquisition of the $1bn Serenitas land lease communities portfolio from GIC.*
  • The founders of Scape on the establishment of the ‘rent-to-live’ $1.5bn build-to-rent fund.*
  • QIC on the reorganization of its flagship $7bn QIC Property Fund into a club-style investment vehicle and the generation of liquidity for minority investors.*
  • Aventus Property Group on its destapling and acquisition for $2.3bn by way of schemes of arrangement by Home Consortium*
  • Spark Infrastructure in relation to its acquisition for $5.2bn by way of schemes of arrangement by a consortium comprising funds managed by KKR, OTPP and PSP Investments* 
  • AustralianSuper in relation to its participation in the successful bidding consortium for the acquisition of Sydney Airport Corporation for a total consideration of $23.6bn*
  • Acting for Gateway Capital on establishment of a $1bn infill logistics property fund with Cadillac Fairview and a separate $1bn logistics program with Invesco.
  • APG in relation to its acquisition of a 16.8% interest in Ausgrid from AustralianSuper for over $2bn*
  • AustralianSuper in relation to the establishment of the $1.6bn Moorebank Logistics Park fund with TCorp, AXA, Ivanhoe Cambridge and Logos*
  • AustralianSuper in relation its participation in the successful bidding consortium to acquire the remaining 49% interest in WestConnex for $11.1bn*
  • Lendlease Data Centre Partners on its establishment of a joint venture with Princeton Digital Group for the development of an $800m data centre in Tokyo*
