  • Represented Accel-KKR in its strategic investment, via joint venture with Francisco Partners, in Vendavo, a global market leader in AI-enabled SaaS pricing and CPQ solutions.*
  • Represented various Warburg Pincus portfolio companies in connection with dividend recapitalization transactions.*
  • Represented Lagoon Water Midstream, a Macquarie portfolio company, in its acquisition of Double Drop Resources, a Midland Basin salt water disposal management company.*
  • Represented Quantum Energy Partners in its partnership with Houston Energy to form HEQ Deepwater with more than US$400 million of equity capital commitments and HEQ’s first major acquisition of oil and gas assets in the Gulf of Mexico.*
  • Represented Sustainable Opportunities Acquisition Corporation (NYSE: SOAC) in its US$2.9 billion business combination with DeepGreen Metals Inc., a developer of lower-impact battery metals from unattached seafloor polymetallic nodules.*
  • Represented Custom Truck One Source (CTOS), a Blackstone portfolio company, in its US$1.475 billion sale to Nesco Holdings, Inc. (NYSE: NSCO).*
  • Represented KKR in its US$4.475 billion acquisition of the Atlantic Aviation business of Macquarie Infrastructure Corp.*
  • Represented Acosta Inc. in two separate acquisitions of Impact Group and The Core Group, each a global sales and marketing services company.*
  • Represented Dunes Point Capital in its acquisition of Unified Door and Hardware Group, LLC, a value-add distributor of doors and hardware.*
  • Represented TPG Sixth Street Partners in its acquisition of wind energy assets from GE for approximately US$1.5 billion.*
  • Represented Cloud Peak Energy Inc. in its sale of substantially all assets to Navajo Transitional Energy Company, LLC for US$15.7 million of cash, a US$40 million unsecured promissory note, royalty payments on coal produced over a 5-year period, the assumption of coal production related tax liabilities and coal royalty payments, and all reclamation obligations.*
  • Represented Crestone Peak Resources Holdings LLC in its approximately US$400 million acquisition from ConocoPhillips Company of oil and gas assets located in Adams and Arapahoe Counties, Colorado.*
  • Represented Goldman Sachs’ alternative energy investing group in a joint venture with TELOS Clean Energy to develop, construct, own and operate distributed solar power projects.*
  • Represented Excalibur Resources, a private equity backed oil producer, in connection with a joint development agreement involving the development of wells in Dewey, Custer and Caddo Counties, Oklahoma.*
  • Represented Harvest Midstream in connection with a joint venture with Phillips 66 involving the construction and management of a pipeline traversing Louisiana and Texas.*
  • Represented Caelus Natural Resources Alaska in its sale of oil and gas assets in Alaska to Eni Petroleum.*
  • Represented Goldman Sachs’ renewable energy fund in its approximately US$350 million acquisition from Marina Energy, a subsidiary of South Jersey Industries, of its solar portfolio.*
