Ben specializes in cross-border asset finance transactions in the aviation sector.
He advises financial institutions and corporate clients on a broad range of matters, including structured debt transactions, capital markets transactions, joint ventures, mergers and acquisitions, asset portfolio transfers, leasing, export credit agency-supported financings, secondary debt trading, and complex restructurings and workouts. Ben previously worked in our London and Hong Kong offices before relocating to New York, and he is qualified to practice in both New York and England and Wales.
- Advising Goldman Sachs, as global coordinator and sole structuring agent, in connection with the issuance by AASET MT-1 "Master Trust" (formerly referred to as AASET 2025-1) serviced by Carlyle Aviation of US$518 million of Secured Notes used to purchase a portfolio of 23 aircraft and the issuance of US$526 million of Secured Notes used to purchase a further portfolio of 23 aircraft (this is the first 'master trust' for an aircraft ABS) Airline Economics' 2026 ABS Deal of the Year
- Advising Deutsche Bank, as lead structuring agent, in the Rule 144A offering by Phantom 2026-1 Aviation Ltd. and Phantom 2026-1 Aviation LLC of US$603.17 million fixed rate secured notes secured by a portfolio of 16 aircraft serviced by High Ridge Aviation Limited
- Advising Mizuho, as lead structuring agent and joint lead bookrunner, in connection with the issuance by Navigator 2025-1 Aviation Limited and Navigator Aviation (Warehouse) II LLC of $610 million fixed rate secured notes secured by a portfolio of 23 aircraft and related leases
- Advising ATLAS SP Partners, L.P., the warehouse finance and structured products business majority owned by Apollo funds, and Deutsche Bank AG, New York Branch, as lenders on a US$2.5 billion secured asset-level debt financing warehouse facility for the Strategic Capital Initiative established by FTAI Aviation Ltd. to finance the acquisition of on-lease Boeing 737NG and Airbus A320 aircraft
- Advising BBAM in connection with the US$1.25 billion secured warehouse financing for Incline Aviation III
- Advising Goldman Sachs, as sole structuring agent and joint lead arranger in connection with a US$500 million syndicated secured aircraft warehouse facility for Carlyle Aviation
- Advising Deutsche Bank AG and MUFG Bank, Ltd., on a senior secured warehouse facility for Abelo in respect of a portfolio of identified and unidentified turboprop aircraft
- Advising Scissortail Aviation in connection with the acquisition and secured financing of a portfolio of aircraft from Altavair L.P.
- Advising BBAM in connection with the US$678 million secured financing for Incline Aviation III of 36 Boeing 737-800 aircraft subject to a sale and leaseback with Southwest Airlines
- Advising Deutsche Bank AG on the acquisition of c.€1.67 billion of loans from the aircraft financing portfolio of Norddeutsche Landesbank (NORD/LB)
