Clifford Chance advises lenders on financing for Intersnack’s take private of Utz Brands
Global law firm Clifford Chance has advised the financiers of Intersnack Group GmbH & Co. KG’s (“Intersnack Group” or “Intersnack”), a leading, multinational savory snack manufacturer, on the acquisition of all outstanding shares of Class A Common Stock of Utz Brands, Inc. (“Utz”) for $14.25 per share in cash. Upon closing the transaction, Utz will become a private company with the Rice and Lissette Family Entities and Intersnack Group each owning 50% of Utz.
The financing forms part of approximately $920 million cash provided as consideration for the transaction by Intersnack Group.
The Clifford Chance team was led by partner Simon Reitz (Frankfurt) and further comprised senior associate Christian Cranmore and associates Asia Racines Carugo (admission to the New York Bar pending) and Justus Jaspert (all Munich, all Debt Finance).

Die globale Wirtschaftskanzlei Clifford Chance hat die Kreditgeber der Intersnack Group GmbH & Co. KG („Intersnack Group“ oder „Intersnack“), einem führenden multinationalen Hersteller salziger Snacks, bei der Finanzierung des Erwerbs sämtlicher ausstehender Class-A-Stammaktien von Utz Brands, Inc. („Utz“) beraten. Der Kaufpreis beträgt US$14,25 je Aktie in bar. Nach Abschluss der Transaktion wird Utz von der Börse genommen und als privat geführtes Unternehmen fortgeführt. Rice und Lissette Family Entities sowie die Intersnack Group werden jeweils 50 % an Utz halten.
Die Finanzierung ist Teil der von der Intersnack Group für die Transaktion bereitgestellten Barmittel in Höhe von rund US$920 Millionen.
