DocuSign terms of use

1. Electronic signature services

1.1 The following terms and conditions govern your use of:

1.1.1 the DocuSign site ("DocuSign Site") which is operated by DocuSign, Inc and its affiliates including DocuSign International (EMEA) Limited and DocuSign France (together, "DocuSign");

1.1.2 the electronic signature services provided through the DocuSign Site; and

1.1.3 the identity verification services provided by DocuSign, IDnow GmbH ("IDnow"), Itsme, DigiCert Europe Belgium B.V. and any other organisation in respect of the electronic signature services provided through the DocuSign Site (the "Identity Verification Services"),

(together the "Electronic Signature Services"), for Clifford Chance LLP of 10 Upper Bank Street, London, E14 5JJ, United Kingdom, together with its subsidiary undertakings and entities with which it has a formal association ("Clifford Chance", "we", "us" and "our" to be construed accordingly).

2. Warranties and liability 

2.1 We do not accept any responsibility for: (i) the operation or functionality of the Electronic Signature Services or the availability of the DocuSign Site at any given time; (ii) any error made by an Identification Verification Service in certifying or verifying the identity of any signatory; or (iii) any malware which impacts systems through use of the Electronic Signature Services.

2.2 We do not make any representation or give any warranty that a signature produced using the Electronic Signature Services will be considered effective, valid, enforceable and/or admissible in any jurisdiction which might be relevant to the transaction.

2.3 Clifford Chance assumes no duty of care or responsibility to any person or entity using the Electronic Signature Services (other than our client(s), to the extent expressly agreed with them) in connection with the execution of any document, including (without limitation) to ensure the legality, validity, enforceability and/or admissibility of electronic signatures in any relevant jurisdiction.

2.4 In this clause 2, references to "We" includes any partner or other representative of Clifford Chance.

3. Use of the electronic signature services 

3.1 You will promptly inform us if you become aware: (i) that you have been given access to any part of the DocuSign Site in error; (ii) that any person has affixed, or has attempted to affix, a signature to a document on the DocuSign Site on behalf of another person without appropriate authorisation; or (iii) of any other actual or suspected unauthorised or improper use of the Electronic Signature Services.

4. Data protection

4.1 You agree that: (i) we may collect personal data for the purpose of providing the service and communicating with users; (ii) your personal data will be shared with DocuSign and AWS, the company which hosts the DocuSign Site; (iii) we will store personal data for up to 180 days following use of the service; and (iv) your personal data may be stored in the USA, Canada, Australia or the European Economic Area. If it is necessary to transfer personal data outside of the country in which it is collected, we will comply with applicable data protection law.
