Jesse Overall

Jesse Overall is an experienced Fintech Product lawyer practicing full time in the blockchain technology and crypto/digital assets space since 2018. His mission is to bring Wall Street to crypto and crypto to Wall Street.

In the digital assets space, he has advised both sell-side and buy-side players on some of the largest crypto custody, prime brokerage and trading agreements ever signed, the milestone launch of digital asset (including bitcoin) custody services by some of the nation’s oldest and most venerable banking institutions, crypto ETF launches, pioneering security token offerings and tokenizations of real world assets and secondary market trading, product structuring and regulation for a range of token types, the formation of investment funds involving digital assets, M&A and venture-backed fundraisings in the blockchain/crypto space, obtaining licensing, authorization and exemptive relief from federal and state regulatory agencies, and other emerging areas. Jesse has experience grappling with financial regulatory issues of first impression involving digital assets, and has advised on dozens of financial services/commercial contracts and transactions involving cryptocurrency or blockchain technology. He also represents several industry trade groups.

His clients have included asset managers, banks, corporates, exchanges, Layer 1 networks, software developers, sovereigns, startups, trade groups, trading firms, and professional sports teams, among others.

During law school, Jesse interned at both the SEC and the CFTC as they implemented the post-2008 Great Financial Crisis regulatory reform laws (Dodd-Frank), giving him a unique perspective on the crypto market structure legislation currently pending before Congress, which would allocate jurisdiction over the newly emerging digital assets market between those same two agencies.
