Carter L. Olson's practice focuses on secured and unsecured finance matters, representing borrowers, lenders, private equity sponsors and portfolio companies in a variety of complex debt financings.

His experience includes project finance, general syndicated finance, reserve-based and other asset-based revolving loans in a variety of sectors, including maritime, oilfield services, upstream and midstream oil and gas, renewables and power generation.

In addition to debt financing, Carter maintains an active derivatives practice and has represented numerous corporate end users, project companies, and hedge providers in negotiating and documenting various hedging transactions including commodity, interest rate, and foreign exchange derivatives.

  • A major private equity firm and its portfolio company in negotiating both a reserve-based working capital facility related to the acquisition of upstream oil and gas properties and a revolving loan secured by, and funding the acquisition of related midstream properties*
  • Double Eagle Development, a leading Permian basin upstream developer and producer, in a series of syndicated, reserve-based credit facilities for its operating companies*
  • Jonah Energy LLC, one of the leading sustainable natural gas producers in the US, in its inaugural securitized financing transaction involving US$750 million of fully amortized notes backed by a portion of Jonah’s producing assets*
  • Crowley Holdings, a maritime, energy and logistics solutions company, in connection with a US$300 million preferred equity investment in its subsidiary, Crowley Preferred Funding, LLC, from Global Infrastructure Partners and an affiliate of Crowley*
  • Enviva Partners, world’s largest producer of sustainable wood pellets, in a US$850 million joint term loan and revolving credit facility agented by Barclays Bank*
  • A leading exploration and production company in a US$1 billion acquisition financing of a portfolio of non-operated oil and gas leases, mineral interests and overriding royalty interests, including a syndicated, reserved-based revolving credit facility*
  • Stronghold Digital Mining Holdings LLC, a Bitcoin mining company, as borrower, in a US$58 million senior secured term loan with an alternative lender, including the issuance of warrants*
  • Black Stone Minerals Company in a US$550 million syndicated, senior secured, reserve-based revolving credit facility*
  • A major commodities dealer in a US$400 million credit support facility to support the obligations of Guzman Energy LLC, a wholesale power provider with respect to up to 500 megawatts of purchased electrical generation capacity*
  • Hedging agreements in connection with the financing by Gulf Coast Ammonia of a world-scale, hydrogen-based ammonia project in Texas*
  • Negotiation of hedging agreements in connection with a securitization transaction by Terra Energy Holdings LLC, consisting of a private placement of US$525 million notes by Terra ABS I LLC*
  • A hedge provider of oil and gas hedges in connection with an oil and gas securitization financing transaction involving the private placement of US$640 million notes*
  • Vitol Inc. as hedge provider in a number of domestic power projects*
  • Quantum Capital Group and FourPoint Resources, in partnership with Kayne Anderson, in their US$2 billion acquisition of Ovintiv’s (NYSE, TSX: OVV) Uinta Basin assets*
  • Black Stone Minerals Company, L.P. in a US$550 million secured reserve-based revolving credit facility*
  • Upstream E&P company in a US$65 million secured term loan in connection with the acquisition of equity interests and oil and gas properties*
  • an asset management firm and its portfolio company, an energy transition company, in a multi-draw term loan for the construction of a wind turbine remanufacturing plant*
  • Citibank in a US$1 billion syndicated, asset-based credit facility to Transocean Inc. secured by a first lien in certain drillships*
