Stuart Dixon-Smith

Stuart is a real estate specialist with 45 years’ experience. He specialises in property development and property finance law, acting for developers or lenders on the construction, financing and development of major properties and infrastructure projects as well as investors on their strategic real estate investments. He is vastly experienced in the range of issues associated with large-scale property and infrastructure projects including structured titles, stamp duty, property-related taxation, public property trusts, listings, project finance and public debt issues.

He is consistently sought out by blue chip clients to provide strategic, commercial advice on their most complex real estate transactions and urban renewal projects.

 

Acquisitions

  • Mitsubishi Estate on their capital partnering business in Australia for the last eight years, including the acquisition of 25% interest in the Pitt Street North overstation office development from Oxford Properties; establishment of the Stockland Residential Rental Partnership (SRRP) for loan lease residential villages with Stockland Property Group; acquisition of a 47% interest in Mirvac’s LIV Build to Rent fund and subsequent exit from that fund; 50% joint venture with Mivac of Darling Harbour Harbourside mixed use project; acquisition and development of One Circular Quay, 1 Darling Point Road and 175 Liverpool St in partnership with Lendlease.*
  • AMP on the Quay Quarter development at 50 Bridge Street and 33 Alfred Street, Sydney and mixed-use development in Loftus Street.*
  • Scentre Group on the acquisition of the David Jones Market Street building in joint venture with Cbus Properties.*
  • GPT on the acquisition of 97 Pacific Highway and 51 Walker Street from Australian Industry Group and a portfolio of 29 industrial and office properties from Ascot Capital.*
  • Canada Pension Plan and APPF Commercial on their investment in the first two towers at Barangaroo.*
  • Charter Hall on its acquisition of 9 Castlereagh St, Sydney and 1 Parramatta Square.
  • A consortium of investors, comprising Qatar Investment Authority, Lendlease managed Australian Prime Property Fund Commercial fund and Lendlease Trust, on the circa $2 billion commercial Tower 1 at Barangaroo South.*
  • Link REIT on the acquisition of 49% stake in the Investa Group Office Fund.*

     

Disposals

  • Australand Holdings on its initial public offering and defence of takeover by Frasers Property, and on the IPO of the Frasers Logistics Trust on the Singapore Stock Exchange.*
  • Charter Hall on the formation and IPO of the Charter Hall Long WALE REIT.*
  • Scentre Group on the $1.5b disposal by way of long-term lease of three office towers over Westfield Sydney shopping centre to Blackstone.*

 

Property Development

  • Lendlease and Mitsubishi Estate on their joint venture and the JV's subsequent acquisition of One Circular Quay and the consequential development fund through.*
  • John Boyd Properties on its joint venture with Stockland in respect of the former Kogarah Golf Club and subsequent rezoning and development of a 340,000 multilevel industrial development immediately adjacent to Sydney Airport.*
  • AMP Capital on the AUD $3b redevelopment of Quay Quarter, Sydney.*
  • Ausgrid on the disposal and development options for its surplus land, Ausgrid’s battery energy storage business and its data centre business.*
  • Cbus and DEXUS on 5 Martin Place, Sydney.*
  • Frasers Property on the development, income support and sale arrangements (including forward-funded deals) for Freshwater Place, Southbank and Macquarie Park Exchange.*
  • Johnson and Johnson on the sale and lease of new premises at J&J's headquarters at Macquarie Park with Stockland.*
  • Lendlease on the subdivision of Barangaroo’s complex leasehold title and titles for the central utility plant, and advising regarding achieving registration of the first of many subdivisions of Barangaroo without impacting on the project timetable.*
  • Mirvac on the redevelopment of the Old Treasury Building Precinct, Perth involving State significant infrastructure and a heritage listed building and, on the Waterloo, overstation development in Sydney.*
  • Peninsula Hotel Group on the development of Bennelong Apartments and Opera Quays retail development, Sydney.*
  • Qube Property Management Services and Aurizon Holdings Limited (acting together in the SIMTA joint venture) on the tender process, negotiation of agreements and structuring of the $3b+ Moorebank Intermodal Terminal, Sydney, and the eventual sale to Logos.*
  • Scentre Group on the acquisition and development of the retail components of Central Barangaroo, Sydney, the former David Jones Market Street store in Sydney, the Archibald Apartments on surplus land adjoining Westfield Bondi Junction and a new office tower above Westfield Liverpool.*

 

Property Financing

  • ANZ Bank on the workout of ANZ Bank's loan to Raptis Group for the Surfers Paradise Hilton, including a pre-packed voluntary administration, new senior debt facility to the administrators, D&C Contract with Multiplex and put option over the Hilton Hotel component to Multiplex.*
  • Macrolink Landream on the senior debt and mezzanine debt construction facilities with NAB for the Opera residential development at Sydney's Circular Quay.*
  • Pacific Alliance Group (PAG) advising for over 17 years on a series of debt transactions and secondary debt acquisitions.*
