Richard Kruger focuses on advising sponsors of private investment funds including on buyout and growth capital, and secondaries funds on fund formation and ongoing operations. His areas of expertise include corporates, capital markets and securities, mergers and acquisitions, private equity, and private funds.
Richard represents secondaries funds on their acquisitions and sales of private fund interests on the secondary market. In addition to representing fund sponsors, he routinely represents institutional investors on investments in private alternative funds.
His representative matters include:
- Representing a sponsor in the formation of a buyout fund structured as a series LLC with over US$1 billion in commitments
- Representing a fund-of-funds sponsor in multiple secondary sale transactions of portfolio interests to secondaries funds and other buyers
- Representing a fund-of-funds sponsor with the secondary purchase of a portfolio of fund interests from a public pension plan
- Representing pension plans and other institutional investors in primary investments in private investment funds
