Constantin specialises in domestic and European insurance transactional and regulatory law.
He advises a wide range of insurance sector professionals – including insurers, reinsurers, intermediaries, bancassurance institutions, and Insurtechs – on all aspects of insurance law, both life and non-life.
His expertise covers the full spectrum of regulatory issues affecting industry stakeholders, including:
• Regulation of (re)insurance companies under Solvency II and IDD regulations: licensing, passporting, governance, investments, regulatory capital requirements, and related compliance matters;
• Regulation of (re)insurance intermediaries under IDD regulations: registration, passporting, professional and organisational requirements, product oversight and governance, conduct of business rules, and related compliance matters.
Constantin regularly advises on insurance distribution, assisting clients with the structuring and implementation of distribution schemes for insurance products, and is also highly experienced in negotiating and drafting management and distribution agreements, as well as bancassurance agreements. He provides comprehensive advice on insurance contract regulations, including the drafting and review of P&C, civil liability and life insurance policies (euro and unit-linked products).
In the field of mergers and acquisitions, he advises on strategic M&A transactions and portfolio transfers involving traditional (re)insurance stakeholders and conducts due diligence of insurance contracts. He also advises on insolvency and resolution of (re)insurance companies and assists with debt capital markets transactions (mutual certificates, restricted Tier 1 notes etc.).
He represents clients in their dealings with supervisory authorities (ACPR, ORIAS), including in regulatory and disciplinary proceedings.
A prolific author on regulatory insurance matters, Constantin is actively involved in the work of the Haut Comité Juridique pour la Place Financière de Paris and is a member of several leading professional associations (AJAR, Young AIDA, etc.).
In addition to his professional practice, Constantin is an adjunct professor in the Insurance Law Master’s degree (Master 2) at Paris-Panthéon-Assas, where he teaches International Insurance Contract Law.
