Clifford Chance advises Volkswagen Financial Services on first securitisation transaction in Poland
International law firm Clifford Chance has successfully advised Volkswagen Financial Services on its first securitisation transaction in the Polish market, whereas Volkswagen Financial Services Polska Sp. z o.o. acted as Originator and Seller of Polish law lease receivables in a total programme amount of up to PLN 3,000,000,000.
The transaction meets the "golden status" under the Securitisation Regulation and is verified to meet the simple, transparent and standardized requirements. The purchase of the lease receivables portfolio is being financed via the issuance of registered global notes, in cleared and uncleared form, to a consortium of leading international banks as Investors.

Die internationale Anwaltssozietät Clifford Chance hat Volkswagen Financial Services erfolgreich bei ihrer ersten Verbriefungstransaktion auf dem polnischen Markt beraten. Volkswagen Financial Services Polska Sp. z o.o. fungierte dabei als Originator und Verkäufer von Leasingforderungen nach polnischem Recht in einer Gesamthöhe von bis zu 3.000.000.000 PLN.
Die Transaktion erfüllt den "Goldstandard" gemäß der Verbriefungsverordnung und erfüllt nachweislich die Anforderungen an Einfachheit, Transparenz und Standardisierung. Finanziert wird der Ankauf des Portfolios von Leasingforderungen durch die Emission von Namensschuldverschreibungen in geclearter und ungeclearter Form an ein Investorenkonsortium aus führenden internationalen Banken.

Międzynarodowa kancelaria prawna Clifford Chance doradzała Volkswagen Financial Services przy jej pierwszej transakcji sekurytyzacyjnej na polskim rynku, w której Volkswagen Financial Services Polska sp. z o.o. pełniła rolę Inicjatora (Originator) i Sprzedawcy (Seller) wierzytelności leasingowych rządzonych prawem polskim w łącznej kwocie programu do 3 miliardów PLN. Transakcja, zgodnie z przepisami Rozporządzenia Sekurytyzacyjnego, spełnia wymogi dotyczące prostych, przejrzystych oraz standardowych sekurytyzacji (STS criteria). Zakup portfela wierzytelności leasingowych jest finansowany poprzez emisję globalnych obligacji imiennych rządzonych prawem niemieckim, w formie rozliczonej (cleared) i nierozliczonej (uncleared), skierowaną do wiodących banków międzynarodowych jako inwestorów.
