Clifford Chance advises Mitsui and Nutrinova on strategic upstream integration and expansion of Mitsui's investment in Nutrinova
Global law firm Clifford Chance has advised Mitsui & Co., Ltd. ("Mitsui") and Nutrinova Netherlands B.V. ("Nutrinova"), Mitsui's equity-method affiliate engaged in the manufacture and sale of functional food ingredients, on the upstream integration of VP4 Frankfurt GmbH ("VP4"), a manufacturer of key intermediate ingredients for the sweeteners and preservatives produced by Nutrinova. In connection therewith, the team has also advised on Mitsui's acquisition of an additional 19% interest in Nutrinova from its co-shareholder Celanese Corporation ("Celanese"), a leading U.S. chemical company.
Following completion of the transactions, Mitsui's ownership stake in Nutrinova will increase to 89%, resulting in Nutrinova becoming a consolidated subsidiary of Mitsui, enhancing the agility of decision-making and, together with the benefits of upstream integration, increasing the effectiveness of its business strategy. These two transactions represent growth investments in the Food Science business, which Mitsui positions as a growth area in its Medium-term Management Plan 2029.
Clifford Chance's involvement also included advising Mitsui and Nutrinova in connection with the insolvency-related developments affecting the former Heubach-owned VP4 facility and the subsequent development and implementation of the long-term ownership, manufacturing and supply framework underpinning the transactions.

Die globale Anwaltskanzlei Clifford Chance hat Mitsui & Co., Ltd. ("Mitsui") und Nutrinova Netherlands B.V. ("Nutrinova") bei der Upstream-Integration von VP4 Frankfurt GmbH ("VP4") beraten. Nutrinova ist ein at-equity bilanziertes Beteiligungsunternehmen von Mitsui und in der Herstellung und dem Vertrieb funktioneller Lebensmittelzutaten tätig. VP4 ist ein Hersteller wichtiger Zwischenprodukte für die von Nutrinova hergestellten Süß- und Konservierungsstoffe.
Im Zusammenhang damit beriet das Team zudem beim Erwerb eines weiteren Anteils von 19% an Nutrinova durch Mitsui von der Mitgesellschafterin Celanese Corporation („Celanese“), einem führenden US-amerikanischen Chemieunternehmen.
Nach Abschluss der Transaktionen wird sich Mitsuis Beteiligung an Nutrinova auf 89 % erhöhen, wodurch Nutrinova zu einer konsolidierten Tochtergesellschaft von Mitsui wird. Dies stärkt die Handlungsfähigkeit in Entscheidungsprozessen und erhöht zusammen mit den Vorteilen der Upstream-Integration die Wirksamkeit der Geschäftsstrategie.
Beide Transaktionen sind Wachstumsinvestitionen im Bereich Food Science, den Mitsui in seinem mittelfristigen Managementplan 2029 als Wachstumsfeld definiert hat.
Die Beratung von Clifford Chance umfasste zudem die Beratung von Mitsui und Nutrinova im Zusammenhang mit den insolvenzbezogenen Entwicklungen, die die ehemals im Besitz von Heubach befindliche VP4-Anlage betrafen, sowie bei der anschließenden Entwicklung und Umsetzung der langfristigen Eigentümer-, Produktions- und Lieferstruktur, auf der die Transaktionen beruhen.
