Clifford Chance advised on MSU Green Energy's issuance of senior secured notes
Global law firm Clifford Chance has advised BBVA Securities Inc., J.P. Morgan Securities LLC and Santander US Capital Markets LLC, as initial purchasers, in connection with the offering of US$400 million aggregate principal amount of 9.750% senior secured notes due 2036 by MSU Green Energy S.A. The offering of the notes was conducted pursuant to Rule 144A and Regulation S under the US Securities Act.
The team was led by partner Hugo Triaca (New York) and included associates Joyce Moore (New York) and Cristian Ragucci (São Paulo), foreign lawyer Juan Andres Bosch (Madrid) and foreign law clerk Natalie Jana Deradi (New York). Partner Avrohom Gelber (New York) provided tax advice.
Clifford Chance has advised on similar transactions across the Latin America market, including most recently on DC 1 and PAR-DOM's US$1.08 billion senior guaranteed notes and EDENOR's new notes issuance and concurrent tender offer last month.
