Clifford Chance advises banking syndicate on capital increase for Vonovia SE
Clifford Chance has advised a banking syndicate including Morgan Stanley as the sole global coordinator and joint bookrunners Credit Suisse, Société Générale and UniCredit on the legal aspects of a capital increase for the listed housing company Vonovia SE.
As part of a capital increase involving cash contributions and the use of authorised capital, a total of 17 million new shares were offered to institutional investors at a price of EUR 59 per share in an accelerated private placement.
This represented a 3 per cent increase in Vonovia's share capital.
Vonovia intends to use the EUR 1 billion in anticipated proceeds to repay liabilities due in Q4 and to pursue growth opportunities.

Die internationale Anwaltssozietät Clifford Chance hat ein Bankenkonsortium aus Morgan Stanley als Sole Global Coordinator und den Joint Bookrunners Credit Suisse, Société Générale und UniCredit im Zusammenhang mit der Kapitalerhöhung der börsennotierten Wohnungsbaugesellschaft Vonovia SE rechtlich beraten.
Im Rahmen einer Kapitalerhöhung gegen Bareinlagen unter teilweiser Ausnutzung des genehmigten Kapitals wurden insgesamt 17 Millionen neue Aktien zum Stückpreis von 59 Euro im Rahmen einer Privatplatzierung über ein beschleunigtes Platzierungsverfahren institutionellen Anlegern angeboten.
Das Grundkapital der Vonovia wurde dabei um 3 Prozent erhöht.
Den erwarteten Erlös von 1 Milliarde Euro will die Wohnungsbaugesellschaft für die Rückzahlung von im vierten Quartal fälligen Schulden und für Wachstumschancen verwenden.
