Clifford Chance advises on Eurofins Scientific SE's bond buy-back and new issue of hybrid bonds

Clifford Chance has advised Citi, Crédit Agricole CIB, MUFG and Natixis on the tender offer by Eurofins Scientific SE ("Eurofins") of its outstanding €300,000,000 deeply subordinated fixed to floating rate notes ("Target Bonds") and its new issue of €300,000,000 hybrid bonds ("New Bonds").

As part of the tender offer, Eurofins, a global leader in food, environment, pharmaceutical and cosmetics products testing and in agroscience CRO services, was able to buy-back more than 80 per cent of the outstanding Target Bonds. Eurofins intends to exercise its option to redeem all of the remaining Target Bonds that were not validly tendered for purchase pursuant to the tender offer. Upon exercise of this option and purchase of the remaining Target Bonds, Eurofins will have successfully completed the refinancing of the Target Bonds and will face no major debt or hybrid capital refinancing issue until January 2022.

The New Bonds have no specified maturity and are accounted for as 100% equity according to the international financial reporting standards (IFRS). They will bear a fixed annual coupon of 2.875% for the first three years, which is the lowest ever hybrid bond coupon achieved by Eurofins. Thereafter, the New Bonds will become subject to a floating interest rate and become callable at par on each interest payment date. The proceeds of the New Bonds will be used for general corporate purposes, including the refinancing of the Target Bonds.

Clifford Chance (Paris) advised the banks as to the structure of the deal and the negotiation of the issue documentation, with Cédric Burford, partner, Andrew McCann, counsel, and Jessica Hadid, associate, leading the transaction. This is the third Eurofins issue of hybrid securities that Clifford Chance has worked on in recent years.

Clifford Chance a conseillé Citi, Crédit Agricole CIB, MUFG et Natixis dans le cadre de l'offre de rachat par Eurofins Scientific SE ("Eurofins") de 300 millions d'euros d'obligations hybrides subordonnées à taux fixe-variable en circulation (les "obligations cibles") et de sa nouvelle émission d'obligations hybrides de 300 millions d'euros (les "nouvelles obligations").

Dans le cadre de cette offre, Eurofins, l'un des leaders mondiaux de l'analyse dans les secteurs de l'alimentation, l'environnement, la pharmacie et des cosmétiques ainsi que dans le domaine de l'industrie agrochimique, a été en mesure de racheter plus de 80% des obligations cibles en circulation. Eurofins entend exercer son option de rachat des obligations cibles toujours en circulation, qui n'ont pas été valablement apportées dans le cadre de l'offre de rachat. Après l'exercice de cette option et rachat des obligations cibles restant en circulation, Eurofins aura réalisé, avec succès, le refinancement des obligations cibles et ne rencontrera aucun problème majeur de refinancement de sa dette ou de ses instruments hybrides jusqu'en janvier 2022.

Les nouvelles obligations ont été émises pour une durée indéterminée et seront intégralement comptabilisées en fonds propres conformément aux normes IFRS. Elles porteront intérêt au taux annuel fixe de 2,875% pendant les 3 premières années, ce qui correspond au taux le plus bas jamais obtenu par Eurofins pour une émission d'obligations hybrides. Par la suite, les nouvelles obligations porteront intérêt à un taux variable et pourront être remboursées au pair à l'initiative de l'émetteur à chaque date de paiement des intérêts. Le produit des nouvelles obligations sera utilisé pour les besoins généraux de l'émetteur, y compris pour le refinancement des obligations cibles.
