Clifford Chance advises Volkswagen on its capital increase of up to EUR 2 billion
Clifford Chance has advised Volkswagen Aktiengesellschaft on its capital increase with a volume of up to EUR 2 billion, in which the subscription rights of existing shareholders were excluded.
The transaction involved a private placement of new preferred shares based on an international bookbuilding process to institutional investors, including qualified institutional buyers in the U.S. as well as the admission of the new shares to listing in Frankfurt, on German regional stock exchanges, in Luxembourg and in Switzerland.

Die internationale Anwaltssozietät Clifford Chance hat die Volkswagen Aktiengesellschaft bei einer Kapitalerhöhung mit einem Emissionsvolumen von bis zu 2 Milliarden Euro unter Ausschluss der Bezugsrechte der bestehenden Aktionäre beraten.
Die Transaktion umfasste eine Privatplatzierung der neuen Vorzugsaktien im Rahmen eines internationalen Bookbuilding-Verfahrens an institutionelle Anleger einschließlich qualifizierter institutioneller Anleger ("QIBs") in den USA sowie die Zulassung der Aktien in Frankfurt, an den deutschen Regionalbörsen, in Luxemburg und in der Schweiz.
