Client experience

  • Advised on the buy-out of Ron Dennis from McLaren Automotive and McLaren Technology Group and the combination of both companies into one group structure to create a combined business
  • Advised Mondelēz International on various global intra-group restructurings – in connection with carve out transactions (such as the creation of its coffee joint venture, Jacobs Douwe Egberts), the integration of newly acquired businesses (such as Cadbury plc) and otherwise
  • Advised Anheuser-Busch InBev SA/NV on the reorganisation of the ABI and SABMiller groups across various jurisdictions as part of the business combination between ABI and SABMiller
  • Advised National Australia Bank and CYBG plc (the parent company of Clydesdale Bank and Yorkshire Bank) on the demerger of CYBG from National Australia Bank and its dual listing in London and Australia
  • Advised ICAP on the combination of ICAP's global hybrid voice broking and information business with Tullett Prebon
  • Advised McLaren Group on the buy-out of Ron Dennis from McLaren Automotive and McLaren Technology Group and the combination of both companies into one group structure to create a combined business
  • Advised Barclays and Deutsche Bank as financial advisers and underwriters on the demerger of Paragon Offshore from Noble Corporation
  • Advised on the acquisition of a chemicals business involving the pre-sale demerger by the seller of the target and non-target businesses and on share and asset acquisitions and allocations of risk and liability between the parties involved
  • Advised Volkswagen AG on the complex restructuring involving approx 25 indirect subsidiaries of Volkswagen AG in various jurisdictions worldwide by way of several transaction steps including a demerger under Dutch law, a cross-border merger under Dutch and Luxembourg law and a number of share purchase agreements for individual entities
