On Thursday, 12 May 2022 a pan-European panel moderated by Carlo Galli and consisting of Alexandra Davidson, Richard Kalaher, Alexandre Ooms, Geoffrey Scardoni and Pablo Serrano de Haro was joined by our US Counsel Rebecca Pereira and together they spoke on the EU Shell Directive and its impact on investment structuring, with tax benefits currently enjoyed by multi-tier corporate structures based in the EU potentially affected once the Directive is enacted.
In practical terms, existing investment structures may need to be overhauled and new structures considered across all asset classes – private equity, private debt, infrastructure or real estate. While the impact will vary subject to home jurisdiction of the investor and ultimate target jurisdiction, affected businesses should consider reviewing their existing investment structures and planning ahead.
With the public consultation period now over – and as the European Commission works through the process for formal adoption – a cross-practice team of Clifford Chance lawyers brought the potential impact of the Directive to life through a practical scenario-based session, which explored the various challenges you might face and propose how you might go about overcoming them.
