Corporate/Transactional

Our transactional work involves supporting large multinational businesses in their day-to-day dealings. This work covers a wide spectrum of US and cross-border matters relating to capital markets and complex financial products, banking, project finance, financial restructuring and insolvency, M&A, private equity, real estate, tax and ERISA.

Examples of our work

Our Corporate Finance team advised Merrill Lynch as the underwriter in the $2 billion initial public offering of Alpine Global Premier Properties Fund on the New York Stock Exchange.
It was the largest real estate closed-end fund IPO ever.
 
The M&A team advised Kraft Foods Inc. on its offer to acquire the global biscuit business (including the LU brand) of Groupe Danone for $7.2 billion in cash. The deal will see Kraft Food Inc. becoming Europe's largest maker of cookies.
 
The M&A team represented Terra Firma in its acquisition of Pegasus Aviation Finance Co.
The transaction was reported to be valued at over $5 billion.
 
A team based in the New York office that includes attorneys from the M&A, Tax, Benefits, Real Estate, Environmental, and Antitrust practices and several of our European offices are representing long-time client Siemens AG and its US subsidiary Siemens Corporation in connection with their pending $7 billion all-cash acquisition of Illinois-based, publicly-traded clinical equipment company Dade Behring Holdings, Inc.  
 
The Finance & Restructuring team represented UBS Securities LLC and Calyon Securities in an offering of $1.66 billion aggregate principal amount of Class G-3 floating rate notes issued by ALS. AerCap Ireland. The proceeds from the sale of the notes were used to acquire 70 aircrafts on lease to 38 lessees in 28 countries.
 
The ERISA team provided employment advice in connection with the acquisition of Aston Martin from Ford.

Litigation

Our diverse litigation practice encompasses complex financial cases, including one of the country’s leading securities class action practices, intellectual property, antitrust, commercial litigation, product liability, reinsurance, and international arbitration. In addition to our high-profile civil practice in these areas, we also have a highly respected “white collar” criminal defense team. On both the civil and criminal side we offer a depth of trial experience to clients and trial opportunities to our younger lawyers that is unusual for a large firm.

Our clients include the largest American and international banks and investment banks, corporations and insurance companies. Recent, illustrative engagements include:

• We represented Citigroup, in the complex securities class actions, as well as related criminal proceedings, that followed the collapse of Parmalat, the Italian dairy company.
• We advised the Bank of New York in connection with the bankruptcy of Adelphia, the fifth-largest cable television company in the country, and also represented the bank in an antitrust class action brought by hedge funds engaged in short selling.
• We have represented Merrill Lynch in a number of major class actions and other litigations.
• We represented Siemens in a patent litigation involving fuel systems.
• In a case picked by the National Law Journal as a "top ten defense win of 2005" we obtained a complete defense verdict from a Florida jury for Alliance Capital - a leading money management firm - in a multibillion - dollar claim brought by the Florida state employee pension fund.
• We are representing Tyco in ongoing patent infringement litigation involving surgical staplers and ultrasonic scalpels.
